1. Purpose and Scope of This Quotation Estimate
This Quotation Estimate is issued by Meridian Electronics & Engineering Solutions Ltd. to Anadolu Industrial Automation A.Ş. in relation to the provision of specialized Electronics Engineer services for the design, prototyping, testing, and commissioning of a custom embedded control system to be deployed at the client's production line in the Tuzla Organized Industrial Zone, Istanbul, Turkey. The scope encompasses all engineering labor, component procurement, on-site installation, and a twelve-month post-commissioning support period. All deliverables will comply with the applicable Turkish Electrical Installation Regulations (Elektrik Tesisatı Yönetmeliği) and the relevant European CE marking directives as adopted under Turkish law.

3. Payment Terms
Payment against this Quotation Estimate shall be made in the following installments, all denominated in EUR and payable to the bank account of Meridian Electronics & Engineering Solutions Ltd. (IBAN: TR12 0006 4000 0011 2345 6789 01, Ziraat Bankası, Istanbul):
- 30% advance payment (EUR 10,242.00 incl. VAT) upon written acceptance of this Quotation Estimate and execution of the service contract.
- 40% progress payment (EUR 13,656.00 incl. VAT) upon successful completion of prototype testing and delivery of the design package (Item 4).
- 30% final payment (EUR 10,242.00 incl. VAT) within 15 business days after the client signs the Commissioning Acceptance Certificate (Item 6).
4. Terms and Conditions
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all prices and availability of components are subject to re-confirmation.
- The Electronics Engineer assigned to this project shall be Eng. Selin Kaya (TMMOB Member No. 45678) or, in her absence, a substitute of equivalent seniority approved in writing by the client.
- All work will be performed in accordance with the applicable regulations of the Republic of Turkey, including the Turkish Standards Institution (TSE) requirements and the Istanbul Metropolitan Municipality electrical safety codes.
- The client is responsible for providing safe access to the Tuzla facility, necessary permits for on-site work, and a dedicated point of contact for day-to-day coordination.
- Intellectual property in the final design, firmware, and documentation shall vest in the client upon full payment. Meridian retains the right to reference the project in its portfolio with the client's written consent.
- Any change in scope beyond the items listed in Section 2 will be subject to a supplementary Quotation Estimate issued by our office before additional work commences.
- Disputes arising from this Quotation Estimate or the resulting contract shall be resolved by the competent courts and arbitration centres in Istanbul, Turkey, in accordance with Turkish law.
- This Quotation Estimate does not constitute a binding contract until both parties have signed and returned the acceptance copy. It is a good-faith estimate of costs and timelines.
5. Acceptance
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and pricing set forth herein. The signed copy shall serve as the basis for the formal service contract to be executed within ten (10) business days.
