3.1 Validity: This Quotation Estimate shall remain valid for a period of sixty (60) calendar days from the date of issue. After this period, all pricing, availability, and scope terms are subject to revision by Meridian Circuit Solutions LLC without prior notice.
3.2 Payment Schedule: Payment shall be structured as follows: 30% upon execution of the purchase order, 40% upon successful completion of prototype testing (Item 4), and 30% upon final commissioning and acceptance at the client's United States Chicago site. All invoices are due within thirty (30) days of receipt.
3.3 Professional Liability: The Electronics Engineer's work is performed in strict accordance with the Illinois Professional Engineering Act (225 ILCS 605). A Certificate of Insurance evidencing professional liability coverage of no less than $2,000,000 per occurrence shall be provided upon request.
3.4 Change Orders: Any modification to the scope of work outlined in this Quotation Estimate must be documented in a written Change Order signed by both parties. Additional hours or services beyond the stated scope will be billed at the Electronics Engineer's standard rate of $185.00 per hour.
3.5 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes shall be resolved through binding arbitration in Cook County, Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
3.6 Intellectual Property: Upon full payment, all design files, schematics, firmware source code, and documentation produced by the Electronics Engineer shall become the sole property of Northshore Industrial Automation Group. Meridian Circuit Solutions LLC retains the right to reference the project in portfolio materials with client consent.
3.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, supply chain disruptions affecting electronic components, or government-mandated shutdowns within the United States Chicago area.
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Meridian Circuit Solutions LLC to proceed with the Electronics Engineer services as described herein. This signature constitutes a binding agreement to the terms stated in this document.
