Note: The above Quotation Estimate does not include applicable Vietnamese Value Added Tax (VAT) of 10%, which will be added to the final invoice upon acceptance. All costs are exclusive of third-party component procurement, which will be billed at actual cost with a 5% handling surcharge.
Payment for the services outlined in this Quotation Estimate shall be made according to the following milestone-based schedule:
- Milestone 1 (30%): Upon signed acceptance of this Quotation Estimate and project kickoff – 160,830,000 VND
- Milestone 2 (30%): Upon completion of design deliverables and prototype fabrication – 160,830,000 VND
- Milestone 3 (30%): Upon successful completion of all testing and validation phases – 160,830,000 VND
- Milestone 4 (10%): Upon final documentation handover and project closure – 53,610,000 VND
Payments shall be made via bank transfer to the company account in Vietnam Ho Chi Minh City within 15 business days of invoice issuance. Late payments shall incur a penalty of 0.5% per calendar day of delay, in accordance with Vietnamese commercial law.
5.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, pricing may be subject to revision due to market fluctuations in component costs and labor rates in Vietnam Ho Chi Minh City.
5.2 Intellectual Property: All designs, schematics, firmware code, and documentation produced under this engagement shall become the exclusive property of the client upon full payment. The Electronics Engineer retains the right to reference the project in professional portfolios with client written consent.
5.3 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the course of this project, as governed by the separate Non-Disclosure Agreement (NDA) executed prior to project commencement.
5.4 Project Timeline: The estimated total project duration is twelve (12) weeks from the kickoff date, subject to client feedback turnaround times and availability of third-party fabrication resources in Vietnam Ho Chi Minh City.
5.5 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulations, or supply chain disruptions affecting the Vietnam Ho Chi Minh City region.
5.6 Dispute Resolution: Any disputes arising from this Quotation Estimate shall be resolved through amicable negotiation. Failing resolution within 30 days, disputes shall be submitted to arbitration under the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City.
