1. SCOPE OF WORK – ENVIRONMENTAL ENGINEER SERVICES IN CHILE SANTIAGOThis Quotation Estimate is issued by VerdeSolutions Environmental Engineering SpA to provide comprehensive professional services rendered by a licensed Environmental Engineer for the construction and operational phase of the client's commercial development project located in Chile Santiago, specifically within the Metropolitan Region. The scope encompasses all environmental compliance, impact assessment, monitoring, and regulatory liaison activities required under Chilean environmental legislation, including but not limited to the Ley General del Medio Ambiente (Ley 19.300), the Sistema de Evaluación de Impacto Ambiental (SEIA) administered by the Comisión de Medio Ambiente (CMA) of the Metropolitan Region, and applicable regulations from the SEREMI de Medio Ambiente de la Región Metropolitana.

- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be subject to revision based on market conditions, regulatory changes, or availability of the Environmental Engineer team.
- All services shall be performed in strict accordance with Chilean environmental legislation, the regulations of the SEREMI de Medio Ambiente de la Región Metropolitana, and the professional standards of the Colegio de Ingenieros de Chile.
- The Environmental Engineer responsible for this project shall be Ing. María Fernanda Rojas (Matrícula N° 12.847) or, in her absence, a qualified substitute of equivalent seniority approved in writing by the client.
- Payment terms: 30% advance upon acceptance of this Quotation Estimate, 40% upon completion of the EIA submission and regulatory approval, and 30% upon delivery of the final environmental closure report. All invoices are payable within fifteen (15) business days via bank transfer to the account specified on each invoice.
- All work shall be conducted at the project site in Chile Santiago (Comuna de Maipú, Metropolitan Region). Travel and lodging expenses within the Santiago Metropolitan Region are included in the quoted prices. Travel to sites outside the Metropolitan Region will be billed separately at cost.
- The client shall provide timely access to the project site, all existing environmental documentation, and any third-party data required for the Environmental Engineer to perform the scope of work. Delays caused by the client shall extend the project timeline accordingly.
- Confidentiality: All data, reports, and information exchanged under this Quotation Estimate shall be treated as strictly confidential by both parties and shall not be disclosed to third parties without prior written consent.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters (earthquakes, floods), government regulatory changes, or public health emergencies affecting Chile Santiago.
- Disputes arising from this Quotation Estimate shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent courts of Santiago, Chile, in accordance with Chilean civil and commercial law.
- This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties via signed purchase order or contract agreement.
