The Film Director to be engaged under this Quotation Estimate shall be a credentialed professional with a minimum of fifteen (15) years of experience in feature film production, including at least five (5) completed projects shot within the China Beijing region. The scope of the Film Director's responsibilities includes, but is not limited to, the following:

• Pre-production planning, script breakdown, and shot-list development for a 120-minute feature film.
• Casting direction and actor coaching sessions conducted in China Beijing studios and on-location sites.
• Full on-set direction for a minimum of twenty-two (22) principal photography days in China Beijing.
• Collaboration with the cinematography team, production designer, and sound department to realize the creative vision.
• Post-production oversight including dailies review, editorial guidance, and final color grading supervision.
• Compliance with all applicable Chinese State Administration of Radio, Film and Television (SARFT) regulations for filming in China Beijing.

* All amounts are exclusive of international travel, visa processing, and any additional location fees beyond the primary China Beijing metropolitan area. This Quotation Estimate assumes a single-camera feature production. Multi-camera or documentary formats will require a revised estimate.

In accordance with the terms of this Quotation Estimate, payment for the Film Director engagement in China Beijing shall be structured as follows:

• 30% Advance Payment (CNY 792,504): Due upon execution of the production services agreement and confirmation of the Film Director's availability.
• 40% Mid-Production Payment (CNY 1,056,672): Due upon completion of principal photography (Day 22 of on-set work in China Beijing).
• 30% Final Payment (CNY 792,503): Due upon delivery of the final locked cut and completion of post-production supervision.

All payments shall be made via international wire transfer to the designated corporate account of Beijing Cinematic Arts & Production Co., Ltd. in China Beijing. Late payments shall incur a penalty of 1.5% per calendar week.

1. This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Production Services Agreement. The terms herein serve as a preliminary financial and operational framework for the Film Director engagement.
2. The Film Director shall maintain full creative authority over artistic decisions on set, subject to the client's final approval rights as defined in the master agreement.
3. All filming activities in China Beijing shall comply with the PRC Film Law, SARFT regulations, and local municipal filming ordinances. The service provider assumes responsibility for obtaining all necessary permits.
4. Intellectual property in the final film shall be jointly owned as stipulated in the separate IP Assignment Agreement. The Film Director retains moral rights and credit attribution as "Directed by [Name]" in all promotional materials.
5. Either party may terminate this engagement with thirty (30) days' written notice. In the event of early termination, the Film Director shall be compensated for all days worked plus a 15% cancellation fee on the remaining balance.
6. Force majeure events, including but not limited to government-mandated filming restrictions in China Beijing, shall suspend obligations without penalty for a period not exceeding sixty (60) days.
7. This Quotation Estimate is governed by the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in China Beijing.

By signing below, both parties acknowledge that they have reviewed and accepted the terms set forth in this Quotation Estimate for the Film Director services to be rendered in China Beijing. This acceptance does not replace the formal Production Services Agreement, which shall be executed within fourteen (14) days of this signature.
