The Film Director's duties under this Quotation Estimate include, but are not limited to: script interpretation and development, casting coordination, shot design and storyboard approval, on-set direction of actors and crew, collaboration with the cinematographer, production designer, and sound department, daily review of dailies, and final creative approval of the edited cut. All services will be rendered on location in China Shanghai, including but not limited to the historic Bund waterfront, the French Concession in Xuhui District, the Lujiazui financial district, and the Shanghai International Film Festival venue at the Shanghai Grand Theatre.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all rates and availability of the Film Director are subject to reconfirmation.
2. All services described in this Quotation Estimate shall be performed in China Shanghai and in full compliance with the Film Law of the People's Republic of China, the NRTA regulations, and applicable local municipal ordinances of the Shanghai People's Government.
3. The Film Director retains full creative authority over artistic decisions during production. However, the final cut shall be subject to mutual agreement between the Film Director and Dragon Gate Entertainment Group Co., Ltd., as stipulated in the master production agreement.
4. Any change in scope, additional shooting days, or relocation of production outside the China Shanghai metropolitan area shall require a written amendment to this Quotation Estimate and may result in additional charges.
5. Payment shall be made via bank transfer to the account of Shanghai Cinematic Productions Ltd. at Bank of China, Shanghai Branch. Late payments shall accrue interest at 0.05% per day as per PRC commercial practice.
6. Intellectual property rights in the final film shall be jointly owned as per the separate IP agreement. The Film Director's name shall be credited in the film's opening or closing titles in accordance with industry standards in China Shanghai.
7. This Quotation Estimate does not constitute a binding contract until countersigned by both parties and a formal Production Services Agreement is executed.
8. Disputes arising from this Quotation Estimate shall be resolved through arbitration at the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in accordance with its rules of procedure.
