This Quotation Estimate is structured with the following payment milestones, all payable by bank transfer to the account of Meridian Visual Productions Ltd., United Kingdom London:
- 25% deposit (£29,373.00 incl. VAT) – Due upon written acceptance of this Quotation Estimate and execution of the master services agreement.
- 30% interim payment (£35,247.60 incl. VAT) – Due upon completion of pre-production and commencement of principal photography in United Kingdom London.
- 30% second interim payment (£35,247.60 incl. VAT) – Due upon completion of principal photography and delivery of the director's cut.
- 15% final balance (£17,623.80 incl. VAT) – Due upon final delivery of the completed film and all associated deliverables.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates and availability of the Film Director are subject to reconfirmation.
- All services described herein shall be performed by the appointed Film Director or, with prior written consent of the client, by a suitably qualified deputy of equivalent standing.
- The Film Director shall maintain full professional indemnity insurance with a minimum cover of £5,000,000, valid throughout the duration of the engagement in United Kingdom London.
- All intellectual property rights in the final film, including the Film Director's creative contributions, shall vest in the client upon full and final payment, subject to the Film Director's right to be credited as "Directed by" in all promotional materials.
- Any changes to the production schedule, scope, or locations within United Kingdom London that result in additional costs beyond the contingency provision shall be subject to a supplementary Quotation Estimate issued in writing.
- This Quotation Estimate is governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
- The Film Director reserves the right to withdraw from this engagement with fourteen (14) days' written notice in the event of force majeure, provided that any deposit already received shall be refunded pro-rata.
