This Quotation Estimate outlines the comprehensive professional services to be rendered by Apex Visual Productions LLC in the capacity of Film Director for the production of the feature documentary titled "Coral Horizon." All services described herein will be executed within the metropolitan area of United States Miami and its surrounding coastal regions, including but not limited to Key Biscayne, the Florida Keys, and the Miami-Dade County waterfront districts. The Film Director will be responsible for the complete creative and operational leadership of the production from pre-production through final delivery.

This Quotation Estimate shall be settled according to the following milestone-based payment structure. All payments are due in United States Dollars (USD) via wire transfer to the account designated by Apex Visual Productions LLC. Late payments exceeding fifteen (15) calendar days from the due date shall incur a penalty of 1.5% per month on the outstanding balance.

4.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. After the expiration date, all rates and availability of the Film Director must be reconfirmed in writing.
4.2 Location Scope: All production activities covered by this estimate are confined to the United States Miami metropolitan area and the adjacent Florida Keys. Any travel beyond a 75-mile radius from downtown Miami will be billed at an additional rate of $1.25 per mile plus applicable lodging costs.
4.3 Creative Authority: The Film Director retains primary creative authority over shot composition, pacing, and narrative structure. The Client reserves the right to request up to two (2) full revision cycles during post-production at no additional charge. Additional revisions will be quoted separately.
4.4 Cancellation Policy: Cancellation by the Client prior to the start of pre-production incurs a 25% fee of the total estimate. Cancellation during active production incurs 50%. Cancellation after post-production has commenced incurs 75% of the total Quotation Estimate value.
4.5 Intellectual Property: Upon full and final payment, all rights to the finished documentary, including all raw footage, edited sequences, and associated materials, shall transfer exclusively to the Client. The Film Director retains the right to use selected stills and behind-the-scenes footage for portfolio and promotional purposes.
4.6 Force Majeure: Neither party shall be liable for delays or non-performance caused by acts of God, severe weather events (including but not limited to tropical storms common to the United States Miami region), governmental orders, or other events beyond reasonable control.
4.7 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in Miami-Dade County.
4.8 Insurance: The Film Director and Apex Visual Productions LLC shall maintain comprehensive general liability insurance of no less than $2,000,000 per occurrence and professional liability (E&O) insurance of $1,000,000 throughout the duration of the engagement.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and cost figures set forth in this Quotation Estimate for Film Director services to be performed in United States Miami. This document, once countersigned, constitutes a binding agreement between the parties.
