The Film Director will be responsible for the complete creative and artistic vision of the production, including but not limited to: script interpretation and breakdown, casting direction, set management during all shooting days, coordination with the cinematography department, performance coaching for principal and supporting cast, and final creative approval of all editorial cuts. The engagement is structured to comply with all applicable labor regulations within the State of New York and the City of New York, including but not limited to the New York City Film & Television Office permit requirements and SAG-AFTRA guild agreements where applicable.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all rates and availability of the Film Director are subject to reconfirmation and potential adjustment.
• All services will be performed in accordance with the laws of the State of New York and the municipal regulations of United States New York City, including but not limited to the NYC Administrative Code Title 10 (Health) and Title 16 (Buildings) as they pertain to film production.
• The Film Director shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence, naming the client as an additional insured party.
• Any changes to the scope of work, shooting schedule, or creative direction beyond the parameters outlined in this document must be approved in writing by both parties and may result in a revised Quotation Estimate.
• Payment terms are Net 30 days from the date of invoice. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by New York State law, whichever is less.
• All creative materials, including but not limited to storyboards, shot lists, director's notes, and editorial notes, shall remain the intellectual property of the producing entity upon full payment of all fees outlined in this Quotation Estimate.
• This engagement is governed by the laws of the State of New York. Any disputes arising from this agreement shall be resolved through binding arbitration in New York County, United States New York City, in accordance with the rules of the American Arbitration Association.
• The Film Director reserves the right to withdraw from this engagement with fourteen (14) days written notice in the event of a material breach of contract by the client, in which case all fees for completed work shall remain due and payable.
