1. SCOPE OF SERVICES – GEOLOGIST ENGAGEMENT IN BRAZIL SÃO PAULOThis Quotation Estimate is issued by TerraGeo Consultoria Geológica Ltda. to Construtora Horizonte S.A. for the professional services of a licensed Geologist to be performed in the metropolitan region of Brazil São Paulo. The engagement covers comprehensive geological investigation, site characterization, and technical advisory for the construction of a mixed-use commercial and residential complex located in the district of Pinheiros, São Paulo, SP. The Geologist will be responsible for all subsurface investigations, geological mapping, risk assessment, and the preparation of a final technical report in compliance with Brazilian federal and state regulations, including the norms established by the Conselho Federal de Geologia (CFG) and the applicable standards of ABNT (Associação Brasileira de Normas Técnicas).

The total amount of this Quotation Estimate shall be paid in the following installments, all in Brazilian Reais (BRL), via bank transfer to the account of TerraGeo Consultoria Geológica Ltda. (Banco do Brasil, Ag. 1234-5, C/C 67890-1):
- 30% advance payment (R$ 203,158.80) upon signing of the service contract and issuance of the first invoice.
- 40% progress payment (R$ 270,878.40) upon completion of all field investigations (Items 01–06) and submission of the preliminary field report.
- 30% final payment (R$ 203,158.80) upon delivery and formal acceptance of the Final Geological Report and completion of on-site supervision (Items 07–08).
Payment is due within 15 (fifteen) calendar days from the date of invoice issuance. Late payments shall accrue interest at the rate of 1% per month plus a 2% penalty, in accordance with Brazilian commercial law (Código Civil, Art. 412).
4. TERMS AND CONDITIONS- This Quotation Estimate is valid for 30 (thirty) calendar days from the date of issue. After this period, prices may be revised to reflect changes in fuel costs, labor rates, or regulatory requirements in Brazil São Paulo.
- All geological services shall be performed by a qualified Geologist registered with the Conselho Federal de Geologia (CFG) and the Conselho Regional de Engenharia e Agronomia (CREA-SP), in full compliance with Brazilian professional regulations.
- The Geologist shall adhere to all applicable environmental legislation, including the Brazilian Environmental Crimes Law (Lei 9.605/1998) and Cetesb operational guidelines for the state of São Paulo.
- Any additional work beyond the scope defined in this Quotation Estimate (e.g., additional boreholes, extended monitoring, or unforeseen geological conditions) shall be subject to a supplementary Quotation Estimate and written approval by the Client prior to execution.
- The Client is responsible for providing safe access to the site, coordinating with local authorities in São Paulo, and ensuring that all necessary municipal permits for drilling and geophysical surveys are obtained before fieldwork commences.
- Confidentiality: All data, reports, and findings generated under this engagement are the exclusive property of the Client. The Geologist and TerraGeo shall not disclose any project information to third parties without prior written consent.
- Liability: TerraGeo's total liability under this Quotation Estimate shall not exceed the total contract value. The Geologist's professional indemnity insurance (R$ 5,000,000.00 coverage) is maintained throughout the project duration.
- Disputes arising from this Quotation Estimate shall be resolved by arbitration in São Paulo, SP, Brazil, in accordance with the rules of the CAMARB (Câmara de Arbitragem do Mercado), under the Portuguese language.
- This Quotation Estimate does not constitute a binding contract until both parties execute the definitive Service Agreement (Contrato de Prestação de Serviços) incorporating all terms herein.
