1. Scope of Services – Geologist Consultation in Colombia MedellínThis Quotation Estimate is issued by GeoAndes Professional Services S.A.S. to provide comprehensive geological consulting services delivered by a licensed Geologist for the proposed mixed-use development project located in the Aburrá Valley region of Colombia Medellín. The Geologist assigned to this engagement, Dr. Alejandro Cárdena (MSc. in Engineering Geology, Universidad de Antioquia), holds over fifteen years of field experience conducting geological assessments across the Andean geological formations characteristic of the Colombia Medellín metropolitan area and its surrounding municipalities.
The services outlined in this Quotation Estimate encompass a full-cycle geological investigation, including but not limited to: site reconnaissance, subsurface characterization, geotechnical mapping, seismic hazard assessment, groundwater evaluation, and the preparation of a comprehensive geological report compliant with the Colombian National Construction Code (Código de Construcción Sismo Resistente, NSR-10) and the regulations established by the Servicio Geológico Colombiano for the Colombia Medellín jurisdiction.

3.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, prices may be adjusted to reflect changes in material costs, fuel surcharges, or regulatory fee modifications applicable in Colombia Medellín.
3.2 Payment Schedule: 40% upon contract signing, 35% upon completion of fieldwork (boreholes and sampling), and 25% upon delivery and acceptance of the final geological report. All payments shall be made in Colombian Pesos (COP) via bank transfer to the account of GeoAndes Professional Services S.A.S.
3.3 Professional Liability: The Geologist and GeoAndes Professional Services S.A.S. maintain professional liability insurance (póliza de responsabilidad civil profesional) with a coverage of COP 500,000,000, as required by the Colombian Chamber of Geologists (Colegio Colombiano de Geólogos).
3.4 Intellectual Property: All data, maps, borehole logs, and reports generated under this Quotation Estimate shall remain the exclusive property of the client upon full payment. The Geologist retains the right to reference the project in academic publications with prior written consent.
3.5 Force Majeure: Delays caused by seismic events, volcanic activity (including but not limited to the Nevado del Ruiz), heavy rainfall typical of the Colombia Medellín climate, or government-mandated work stoppages shall extend the project timeline without penalty to either party.
3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by the civil and commercial laws of the Republic of Colombia. Disputes shall be resolved by the competent courts of Colombia Medellín, Antioquia.
3.7 Confidentiality: Both parties agree to maintain strict confidentiality regarding all geological data, site conditions, and commercial terms disclosed during the execution of this engagement in Colombia Medellín.
4. Acceptance and AuthorizationBy signing below, the client acknowledges receipt of this Quotation Estimate and authorizes GeoAndes Professional Services S.A.S. to proceed with the geological services described herein, to be performed by the designated Geologist at the project site in Colombia Medellín.
