1. SCOPE OF SERVICES – GEOLOGIST ENGAGEMENT IN ZIMBABWE HARARE

This Quotation Estimate is issued by GeoHarare Professional Geological Services (Pvt) Ltd in response to the Request for Quotation received from MineSafe Zimbabwe Holdings (Pvt) Ltd. The purpose of this Quotation Estimate is to provide a comprehensive and itemised cost breakdown for the engagement of a qualified Geologist to deliver geological survey, assessment, and advisory services within the Zimbabwe Harare metropolitan area and the broader Mashonaland East Province. The Geologist engaged under this Quotation Estimate shall hold a minimum of a Bachelor of Science degree in Geology or Applied Geology from a recognised institution, possess at least eight (8) years of post-qualification field experience in Zimbabwe Harare and surrounding mining districts, and be a registered member of the Geological Society of Zimbabwe (GSZ) and the Zimbabwe Chamber of Mines.

2. DETAILED ITEMISATION OF SERVICES AND COSTS

3. TERMS AND CONDITIONS OF THIS QUOTATION ESTIMATE

This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, the Geologist's rates and the total cost outlined in this Quotation Estimate are subject to revision based on prevailing market conditions in Zimbabwe Harare.
Payment terms: 40% advance payment upon acceptance of this Quotation Estimate, 30% upon completion of fieldwork, and 30% upon delivery and acceptance of the final geological report. All payments shall be made in United States Dollars (USD) via bank transfer to the account of GeoHarare Professional Geological Services (Pvt) Ltd, Stanbic Bank Zimbabwe, Harare Branch.
The Geologist engaged under this Quotation Estimate shall comply with all applicable laws of Zimbabwe, including the Mines and Minerals Act, the Environmental Management Act, and the Occupational Safety and Health Act [Chapter 9:04], as applicable to work conducted in Zimbabwe Harare.
All intellectual property, data, and reports generated by the Geologist in the course of this engagement shall become the sole property of MineSafe Zimbabwe Holdings (Pvt) Ltd upon full payment of the amounts specified in this Quotation Estimate.
GeoHarare Professional Geological Services (Pvt) Ltd reserves the right to substitute the named Geologist with a suitably qualified alternative Geologist of equivalent or higher standing, subject to prior written approval by the client in Zimbabwe Harare.
Any variation in scope beyond the services described in this Quotation Estimate shall be subject to a supplementary Quotation Estimate issued by GeoHarare Professional Geological Services (Pvt) Ltd and accepted in writing by the client before additional work commences.
This Quotation Estimate does not constitute a binding contract until a formal service agreement is executed by both parties. The terms herein are indicative and subject to the final contractual documentation.
Disputes arising from this Quotation Estimate or the subsequent engagement of the Geologist shall be resolved through arbitration in Zimbabwe Harare in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwe.

4. ACCEPTANCE AND AUTHORITY

By signing below, the client acknowledges receipt of this Quotation Estimate and confirms that the scope of geological services, the engagement of the Geologist, and the total cost of USD 42,573.00 (inclusive of 15% VAT) for work to be performed in Zimbabwe Harare are acceptable and agreed upon.
