The Human Resources Manager will be responsible for the full spectrum of people management functions, including but not limited to: strategic workforce planning, recruitment and selection, employee onboarding and offboarding, performance management systems, labor relations compliance under the Brazilian Consolidation of Labor Laws (CLT – Consolidação das Leis do Trabalho), payroll administration, benefits administration, organizational development, training and development programs, internal communications, and conflict resolution.

The engagement is specifically tailored to the regulatory, cultural, and operational environment of Brazil São Paulo, where the Human Resources Manager will ensure full compliance with federal, state (São Paulo), and municipal labor regulations, including adherence to the São Paulo State Labor Court (TRT-2) guidelines, local collective bargaining agreements (Convenções Coletivas de Trabalho), and the provisions of the 2017 Labor Reform (Reforma Trabalhista – Lei 13.467/2017) as amended.

• This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, all pricing and terms are subject to revision based on market conditions in Brazil São Paulo.
• The Human Resources Manager engagement is structured as a professional services contract (Contrato de Prestação de Serviços) in full compliance with the Brazilian Civil Code (Código Civil – Lei 10.406/2002) and applicable labor legislation.
• All services will be rendered in the city of São Paulo, State of São Paulo, Brazil, at the Client's designated office premises or as mutually agreed upon in writing.
• Payment terms: 50% advance upon contract signing; 50% in twelve (12) equal monthly installments, due on the 5th business day of each month via bank transfer (TED/PIX) to the account specified by the Service Provider.
• The Human Resources Manager shall maintain full confidentiality of all Client data, employee records, and proprietary information in accordance with the Brazilian General Data Protection Law (LGPD – Lei 13.709/2018).
• Any additional services beyond the scope defined herein shall be subject to a supplementary Quotation Estimate and written approval by both parties prior to execution.
• Taxes: All applicable taxes (ISS – Imposto Sobre Serviços, as levied by the São Paulo municipal government) are included in the quoted amounts unless otherwise stated.
• Termination: Either party may terminate the engagement with thirty (30) days' prior written notice. In case of early termination, the Client shall be liable for all services rendered up to the termination date plus a 10% penalty on the remaining contract value.
• Dispute resolution: Any disputes arising from this Quotation Estimate and the subsequent contract shall be resolved by the competent courts of the city of São Paulo, SP, Brazil, or by arbitration under the rules of CAMARB (Câmara de Arbitragem do Mercado), at the Client's election.
