All fees outlined in this Quotation Estimate are payable in South African Rand (ZAR) to the bank account of Apex HR Consulting (Pty) Ltd. Payment is due within thirty (30) days from the date of invoice. The recruitment fee (Item 02) is payable in two instalments: fifty percent (50%) upon acceptance of this Quotation Estimate and fifty percent (50%) upon the successful commencement of the Human Resources Manager in the role. The monthly advisory retainer (Item 05) is billed in arrears on the last business day of each calendar month. Failure to settle invoices within the stipulated period will attract interest at the rate of 1.5% per month, in accordance with the National Credit Act provisions applicable in South Africa Johannesburg.

Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, all rates are subject to revision based on prevailing market conditions in South Africa Johannesburg.
Confidentiality: All information exchanged in connection with this engagement, including candidate data, salary benchmarks, and organisational HR strategies, shall be treated as strictly confidential in line with the Protection of Personal Information Act (POPIA) of South Africa.

Compliance: The Human Resources Manager engaged under this Quotation Estimate shall ensure that all HR practices conform to the labour legislation of South Africa and the specific municipal regulations of the City of Johannesburg Metropolitan Municipality.
Dispute Resolution: Any dispute arising from this Quotation Estimate shall first be referred to mediation. Should mediation fail, the matter shall be referred to the CCMA in Johannesburg or, alternatively, to the High Court of South Africa, Johannesburg Local Division.
Limitation of Liability: The total liability of Apex HR Consulting under this Quotation Estimate shall not exceed the total fees paid by the client for the specific service in dispute.
Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to load-shedding, natural disasters, or government-imposed lockdowns in South Africa Johannesburg.
