Payment for this Quotation Estimate shall be structured as follows: 30% non-refundable deposit due upon acceptance of this document; 40% due upon successful placement and onboarding of the Human Resources Manager; and the remaining 30% to be invoiced in equal monthly installments over the twelve-month advisory period. All payments are due within thirty (30) days of invoice date. Late payments shall accrue interest at 1.5% per month as permitted under California Commercial Code Section 2210.2. Payment methods accepted include wire transfer, ACH, and certified check payable to West Coast Talent Solutions, LLC.
6. Terms and Conditions- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all pricing and availability terms are subject to revision.
- All services described herein shall be performed in compliance with the laws of the State of California, the United States federal employment regulations, and all applicable ordinances of the City of Los Angeles.
- The Human Resources Manager candidate identified under this engagement shall not be placed with any competing entity within a 24-month exclusivity period, as defined in the separate Non-Compete and Non-Solicitation Agreement.
- West Coast Talent Solutions, LLC reserves the right to substitute equivalent qualified personnel for any service line item with prior written notice to the client.
- All deliverables, reports, and strategic documents produced under this Quotation Estimate shall remain the intellectual property of Pacific Meridian Industries, Inc. upon full payment.
- Confidentiality obligations under this agreement shall survive termination for a period of five (5) years, in accordance with California Civil Code Section 1668.
- This Quotation Estimate does not constitute a guarantee of employment. The final hiring decision rests solely with the client. West Coast Talent Solutions, LLC acts as a recruitment and advisory intermediary.
- Any disputes arising from this Quotation Estimate shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association.
- Force majeure events, including but not limited to natural disasters affecting the United States Los Angeles region, shall extend deadlines proportionally without penalty to either party.
- This document, together with any attached exhibits, constitutes the entire agreement between the parties regarding the Human Resources Manager engagement described herein.
