2. SCOPE OF SERVICES – INDUSTRIAL ENGINEER CONSULTANCYThis Quotation Estimate is issued by OptiFlow Industrial Consulting Inc. to TransContinental Manufacturing Corp. for the provision of specialized Industrial Engineer services to be delivered at the client's manufacturing facility located in the Saint-Laurent district of Canada Montreal. The scope encompasses process optimization, production line redesign, workforce capacity planning, and lean manufacturing implementation across three (3) production floors. All services shall be performed in compliance with the standards set forth by the Ordre des ingénieurs du Québec (OIQ) and applicable federal and provincial regulations governing engineering practice in the Province of Quebec, Canada.
The assigned Industrial Engineer, Ms. Catherine Tremblay (P.Eng., OIQ No. 198765), will lead a team of two (2) junior engineers and one (1) process analyst. The engagement is structured over a period of fourteen (14) weeks, commencing on August 4, 2025, and concluding on November 7, 2025, with on-site presence in Canada Montreal five (5) days per week during standard business hours (07:00–16:00 EST).

- Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After July 12, 2025, pricing is subject to revision based on current market conditions in the Canada Montreal engineering services sector.
- Payment Schedule: 30% deposit upon contract execution; 40% upon completion of Week 7 deliverables; 30% upon final acceptance of the engineering report. All payments are due within fifteen (15) business days of invoice date via EFT to the provider's account at Desjardins Bank, Montreal branch.
- Professional Liability: The Industrial Engineer services are covered by a professional liability insurance policy of $5,000,000 CAD, compliant with the requirements of the Ordre des ingénieurs du Québec. A certificate of insurance shall be provided upon request.
- Confidentiality: All proprietary data, process information, and trade secrets of TransContinental Manufacturing Corp. shall be treated as strictly confidential in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and Quebec's Law 25 (Bill 64).
- Change Orders: Any modification to the scope of work beyond the parameters described herein shall require a written change order signed by both parties. Additional Industrial Engineer hours beyond the estimated scope shall be billed at $145.00 CAD per hour.
- Dispute Resolution: Any disputes arising from this engagement shall be resolved through mediation in Canada Montreal in accordance with the Civil Code of Quebec. If mediation fails, binding arbitration shall take place before the ADRCC (Association du Barreau canadien) in Montreal, Quebec.
- Applicable Law: This Quotation Estimate and the resulting contract shall be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein.
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and pricing outlined above for the Industrial Engineer services to be performed in Canada Montreal. This document does not constitute a binding contract until a formal Service Agreement is executed by both parties.
