This Quotation Estimate is structured with the following milestone-based payment plan:

1. This Quotation Estimate is valid for 30 calendar days from the date of issue. After 15 July 2025, rates and availability of the assigned Industrial Engineer are subject to revision.
2. All work will be performed in accordance with the labor laws, industrial safety regulations, and professional engineering standards applicable in the Democratic Republic of Congo, specifically within the Kinshasa metropolitan area.
3. The client shall provide the Industrial Engineer with safe access to all production areas, relevant operational data, and a dedicated workspace at the Matete facility in DR Congo Kinshasa.
4. Intellectual property generated during the engagement, including process designs, layout plans, and training materials, shall vest in the client upon full payment.
5. Either party may terminate the agreement with 30 days' written notice. In such an event, the client shall pay for all services rendered up to the termination date.
6. Force majeure events, including but not limited to civil unrest, natural disasters, or government-imposed restrictions in DR Congo Kinshasa, shall suspend obligations without penalty for a period not exceeding 60 days.
7. Disputes arising from this Quotation Estimate or the resulting contract shall be resolved through amicable negotiation, failing which they shall be submitted to the competent commercial courts of Kinshasa, DR Congo.
8. The Industrial Engineer shall maintain professional confidentiality regarding all proprietary information, production data, and trade secrets of the client.
