Terms and Conditions
1. Validity: This Quotation Estimate remains valid for thirty (30) calendar days from the date of issue. After the expiry date, pricing may be adjusted to reflect current market conditions in the France Marseille industrial services sector.
2. Payment Terms: 30% advance payment upon acceptance of this Quotation Estimate; 40% upon completion of the mid-project milestone (Week 6); 30% upon final delivery and acceptance of all deliverables. Payments are due within 30 days of invoice date via bank transfer to the account of ProTech Industrial Consulting SARL, BNP Paribas, Marseille.
3. Intellectual Property: All reports, process maps, and methodologies developed by the Industrial Engineer during this engagement shall become the property of Société Méditerranée Industrielle SA upon full payment. ProTech retains the right to anonymize findings for academic or industry benchmarking purposes.
4. Confidentiality: Both parties agree to maintain strict confidentiality regarding proprietary manufacturing data, production volumes, and operational metrics specific to the France Marseille site. A mutual NDA is attached as Annex A.
5. Cancellation: Either party may terminate the engagement with fourteen (14) days written notice. In the event of early cancellation by the client, all work completed to date shall be invoiced at the rates specified in this Quotation Estimate.
6. Applicable Law: This Quotation Estimate and the resulting contract are governed by the laws of the French Republic. Any disputes shall be submitted to the competent courts of Marseille, Bouches-du-Rhône.
7. Insurance: The Industrial Engineer shall carry professional liability insurance (RC Pro) with a minimum coverage of €5,000,000, valid throughout the duration of the engagement in France Marseille.
