3. Terms and Conditions
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After the expiry date, all rates and availability of the Industrial Engineer may be subject to revision.
- Payment terms: 30% advance payment upon acceptance of this Quotation Estimate, 40% upon completion of the implementation phase (end of Week 9), and the remaining 30% upon final acceptance of the performance verification report in Germany Frankfurt.
- All invoices shall be payable within fourteen (14) days of the invoice date via bank transfer to the account of ProTech Engineering Solutions GmbH, Frankfurt am Main, Germany. Late payments shall incur interest at the statutory rate under German commercial law (HGB §288).
- The Industrial Engineer assigned to this project shall comply with all applicable German occupational safety regulations (Arbeitsschutzgesetz), data protection requirements (GDPR), and site-specific safety protocols at the Frankfurt facility.
- Any changes to the scope of work beyond the originally agreed deliverables shall be subject to a supplementary Quotation Estimate issued by ProTech Engineering Solutions GmbH prior to execution.
- This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties. Acceptance shall be confirmed via signed copy of this document or a separate purchase order referencing Quotation Number QE-2025-FRA-0847.
- Confidentiality: All data, processes, and proprietary information encountered during the engagement at the Germany Frankfurt site shall be treated as strictly confidential in accordance with the mutual Non-Disclosure Agreement (NDA) dated 01 May 2025.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated shutdowns in Germany.
- Governing Law: This Quotation Estimate and any resulting contractual relationship shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Jurisdiction shall lie exclusively with the competent courts in Frankfurt am Main, Germany.
