1. Scope of Services — Industrial Engineer Consultancy
This Quotation Estimate is issued by OptiFlow Engineering Solutions Sdn. Bhd. to Meridian Manufacturing Group Sdn. Bhd. for the engagement of a senior Industrial Engineer to conduct a comprehensive operational efficiency audit, process re-engineering, and lean manufacturing implementation at the client's production facility located within the Malaysia Kuala Lumpur metropolitan corridor. The Industrial Engineer will be deployed on-site for a minimum of five (5) working days per week throughout the project duration, providing hands-on technical leadership in workflow optimisation, capacity planning, ergonomics assessment, and supply chain integration.

3. Terms and Conditions
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Any acceptance beyond this period is subject to re-confirmation of pricing by OptiFlow Engineering Solutions Sdn. Bhd.
- Payment Terms: 40% advance payment upon signed acceptance of this Quotation Estimate; 30% upon completion of Week 6 milestone; 30% upon final delivery of the comprehensive report and acceptance by the client.
- All payments shall be made in Malaysian Ringgit (MYR) via bank transfer to the account details provided on the official invoice. Late payments shall attract interest at 2% per month or the maximum rate permitted under Malaysian law, whichever is lower.
- The Industrial Engineer assigned to this project shall comply with all applicable Malaysian labour regulations, site safety protocols, and the client's internal health, safety, and environmental (HSE) policies at the Malaysia Kuala Lumpur facility.
- Intellectual property: All reports, models, and deliverables produced under this engagement shall become the property of the client upon full payment. OptiFlow retains the right to use anonymised case-study data for academic and marketing purposes.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies as declared by the Malaysian government.
- Dispute Resolution: Any disputes arising from this Quotation Estimate or the subsequent service agreement shall be resolved through mediation in Kuala Lumpur, Malaysia, in accordance with the rules of the Asian International Arbitration Centre (AIAC).
- This Quotation Estimate does not constitute a binding contract until a formal Service Agreement is executed by both parties. The terms herein serve as a preliminary commercial proposal for the Industrial Engineer engagement.
