• Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all rates and availability of the Journalist may be subject to revision.
• Payment Terms: A deposit of 40% of the total amount (EUR 6,254.40) is due upon acceptance of this Quotation Estimate. The remaining 60% (EUR 9,381.60) shall be invoiced upon completion of all Journalist services and is payable within thirty (30) days of the final invoice date.
• Journalist Availability: The Journalist assigned to this project in France Lyon is subject to prior confirmation. In the event of unavailability, an equivalent replacement Journalist of comparable seniority and expertise will be proposed to the client for approval.
• Intellectual Property: All content produced by the Journalist under this engagement shall be the exclusive property of the client upon full payment, in accordance with French intellectual property law (Code de la Propriété Intellectuelle, Articles L.111-1 et seq.).
• Confidentiality: The Journalist and all personnel of Presse & Communication Lyon SARL shall maintain strict confidentiality regarding all information obtained during the engagement in France Lyon. A Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work.
• Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, public health emergencies, or government-mandated restrictions affecting operations in France Lyon.
• Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the French Republic. Any disputes shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Lyon.
