Payment shall be structured in milestones aligned with the delivery schedule outlined above. A 30% advance payment is due upon contract execution. Subsequent milestone payments (ranging from 10% to 20% per phase) will be due upon written acceptance of each deliverable by the TJDFT Brasília project coordinator. The final 10% retention shall be released 90 days after the successful completion of the pilot deployment phase. All payments shall be made via bank transfer to the account designated by LexTech Solutions Brasil S.A., with applicable Brazilian tax documentation (Nota Fiscal) issued for each transaction in accordance with Brasília municipal tax regulations.
- This Quotation Estimate is valid for a period of sixty (60) calendar days from the date of issue. After this period, all prices are subject to revision based on prevailing market conditions in Brasília, Brazil.
- All services described herein shall be performed exclusively within the jurisdiction of Brasília – DF, Brazil. On-site technical support, training, and maintenance personnel will be physically present in Brasília during all service windows.
- The Judge platform and all associated intellectual property developed under this engagement shall be the exclusive property of the TJDFT upon full payment. LexTech Solutions Brasil S.A. retains no rights to replicate, modify, or redistribute the system without written authorization.
- Confidentiality: All judicial data, case information, and operational details accessed during the execution of this project are subject to strict confidentiality obligations under Brazilian law (Código Penal, Art. 325) and the LGPD. Breach of confidentiality shall result in immediate contract termination and legal action.
- Warranty: LexTech Solutions Brasil S.A. provides a twelve (12) month warranty on all software deliverables from the date of final acceptance. Hardware components carry manufacturer warranties as specified in the infrastructure documentation.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government decrees, or systemic infrastructure failures in Brasília.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Federative Republic of Brazil, with exclusive jurisdiction of the courts of Brasília – DF for any disputes arising herefrom.
