Payment for the services outlined in this Quotation Estimate shall be made in Brazilian Reais (BRL) via bank transfer to the account of Meridian Event Professionals Ltda., Banco do Brasil, Agência 1234-5, Conta Corrente 67890-1, CNPJ 12.345.678/0001-90. The payment schedule is as follows:
- 40% advance payment (R$ 48,840.00) due upon signed acceptance of this Quotation Estimate and execution of the service contract.
- 40% interim payment (R$ 48,840.00) due 7 calendar days prior to the commencement of the event.
- 20% final payment (R$ 24,420.00) due within 15 business days following delivery of the post-event Judge evaluation reports.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all prices and availability of the specified Judge panel members are subject to revision without prior notice.
- All Judge services will be performed in strict compliance with the applicable laws and regulations of the Federative Republic of Brazil, the state of Rio de Janeiro, and the municipality of Rio de Janeiro, including but not limited to the Brazilian Civil Code, the Consumer Protection Code (Código de Defesa do Consumidor), and municipal event licensing requirements.
- Each Judge engaged under this Quotation Estimate shall sign a non-disclosure agreement (NDA) and a conflict-of-interest declaration prior to the commencement of judging activities. The client reserves the right to request the substitution of any Judge for cause, provided written notice is given no fewer than five (5) business days before the event date.
- Meridian Event Professionals Ltda. shall not be held liable for delays or disruptions caused by force majeure events, including but not limited to natural disasters, public health emergencies, government-mandated closures, or civil unrest affecting the Rio de Janeiro metropolitan area.
- All intellectual property rights in the Judge evaluation reports shall vest in the client upon full payment. Meridian Event Professionals Ltda. retains the right to reference the engagement in its portfolio of completed projects in Brazil, Rio de Janeiro, subject to the client’s written consent.
- Any disputes arising from this Quotation Estimate or the resulting service contract shall be resolved through arbitration in accordance with the rules of the Câmara de Arbitragem da FIESP, seated in the city of Rio de Janeiro, Brazil, in the Portuguese language.
- This Quotation Estimate does not constitute a binding contract. A formal service agreement must be executed by both parties prior to the commencement of any services. All terms herein are subject to the final contract terms.
