4.1 Validity
This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. Should the client wish to proceed after the expiration date, a revised Quotation Estimate reflecting any market adjustments in the United States Chicago staffing sector will be issued at no additional charge.
4.2 Payment Schedule
Payment for the services outlined in this Quotation Estimate shall be structured as follows: a non-refundable deposit of 25% ($6,882.00) due upon signed acceptance; 50% ($13,764.00) due upon successful placement and first-day onboarding of the Laboratory Technician; and the remaining 25% ($6,882.00) due within thirty (30) days following the completion of the initial 90-day probationary period. All payments are to be made via ACH transfer to the account designated on the invoice. Late payments shall accrue interest at 1.5% per month in accordance with Illinois commercial code provisions applicable in United States Chicago.
4.3 Confidentiality and Data Protection
Both parties agree to maintain strict confidentiality regarding all proprietary research data, patient information (where applicable under HIPAA), and internal operational details of the client's laboratory. The Laboratory Technician placed under this Quotation Estimate will be required to execute a Non-Disclosure Agreement (NDA) prior to commencing duties at the Chicago facility.
4.4 Termination
Either party may terminate the engagement described in this Quotation Estimate with thirty (30) days' written notice. In the event of early termination by the client after the Laboratory Technician has been actively engaged for more than 60 days, a prorated fee of 50% of the remaining monthly management charges shall apply.
4.5 Governing Law
This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the circuit courts located in Cook County, United States Chicago.
