This Quotation Estimate is issued by the undersigned Lawyer, Dr. Ricardo Almeida Santos, a duly registered attorney with the Ordem dos Advogados do Brasil (OAB) — Seccional Rio de Janeiro — to formally present the estimated costs, professional fees, and associated expenses for the provision of comprehensive legal services to the Client. This document constitutes a non-binding Quotation Estimate and does not, by itself, create a contractual obligation between the parties. The final engagement shall be governed by a separate Retainer Agreement or Contract of Legal Services executed in accordance with the Brazilian Civil Code (Código Civil, Lei nº 10.406/2002) and the Brazilian Statute of Advocacy (Estatuto da Advocacia, Lei nº 8.906/1994).
The legal services contemplated herein are to be rendered exclusively within the jurisdiction of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil, and shall comply with all applicable federal, state, and municipal regulations governing the practice of law in Brazil.

- Initial Retainer: A non-refundable retainer fee of R$ 10.000,00 (ten thousand Brazilian Reais) shall be due upon execution of the Retainer Agreement. This amount shall be credited against the total fees as services are rendered.
- Monthly Invoicing: Professional fees for items 02 through 05 shall be invoiced on a monthly basis, payable within fifteen (15) calendar days of the invoice date via bank transfer (TED/PIX) to the firm's account at Banco do Brasil, Ag. 1234-5, Conta 67890-1, Rio de Janeiro, Brazil.
- Reimbursable Expenses: Court fees, notarization costs, and other out-of-pocket expenses (items 06 and 07) shall be billed separately with supporting receipts and are payable within ten (10) business days.
- Late Payment: Overdue amounts shall accrue a monthly interest rate of 1% (one percent) plus a 2% late-payment penalty, in accordance with Article 41 of the Brazilian Statute of Advocacy (Lei nº 8.906/1994).
- Success Fee (if applicable): In the event of a favorable judgment or settlement, an additional success fee of 15% (fifteen percent) of the amount recovered shall be due, as stipulated in the separate Retainer Agreement.
This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue, after which the fees and rates presented herein may be subject to revision. Acceptance of this Quotation Estimate does not constitute a binding contract. A formal engagement shall only be established upon the mutual execution of a written Retainer Agreement, which shall incorporate the terms of this Quotation Estimate as an annex. The Client is advised to review this document carefully and to seek independent legal counsel if any term is unclear.
This Quotation Estimate and any subsequent Retainer Agreement shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, particularly the Brazilian Civil Code, the Brazilian Code of Civil Procedure (Código de Processo Civil, Lei nº 13.105/2015), and the Brazilian Statute of Advocacy. Any disputes arising from or in connection with this Quotation Estimate shall be resolved exclusively by the competent courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil, with express waiver of any other jurisdiction, however favorable it may be.
The Lawyer and all members of the Santos & Almeida Advocacia firm in Rio de Janeiro shall maintain strict confidentiality regarding all information, documents, and strategies disclosed by the Client in connection with this engagement, in full compliance with the Code of Ethics and Discipline of the OAB/RJ and the provisions of the Brazilian Statute of Advocacy. This obligation of confidentiality shall survive the termination of the professional relationship.
