Dear Mr. Chen,

Thank you for engaging Beijing Capital Legal Counsel LLP to provide a formal Quotation Estimate for the legal services of our senior Lawyer team in connection with the commercial contract dispute and corporate restructuring matters currently affecting Horizon Technology Co., Ltd. This Quotation Estimate has been prepared in accordance with the regulations of the Ministry of Justice of the People's Republic of China and the Beijing Municipal Bar Association's fee guidelines, and reflects the current market rates for Lawyer services in China Beijing.

1. Scope of Legal Services

* All amounts are quoted in Renminbi (CNY). This Quotation Estimate is an estimate only and does not constitute a fixed-fee guarantee. Final billing will reflect actual hours worked by the assigned Lawyer team.

3. Terms and Conditions of This Quotation Estimate

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiry, the Lawyer fees and applicable rates may be revised in accordance with the prevailing fee schedule of the Beijing Municipal Bar Association.
Payment shall be made in CNY via bank transfer to the firm's designated account at Industrial and Commercial Bank of China (ICBC), Beijing Chaoyang Branch. A 40% retainer is due upon execution of the engagement letter; the remaining 60% shall be invoiced in monthly installments based on hours actually rendered by the Lawyer team.
All legal advice, documents, and work product prepared by the Lawyer in connection with this engagement are subject to attorney-client privilege under the PRC Lawyers Law (2017 revision) and applicable judicial interpretations of the Supreme People's Court.
This Quotation Estimate does not include costs arising from appeals to the Beijing High People's Court or the Supreme People's Court, which will be subject to a separate Quotation Estimate if required.
The Lawyer firm reserves the right to withdraw from the engagement with thirty (30) days' written notice, in which case fees for services rendered up to the date of withdrawal shall be payable in full.
Any dispute arising from this Quotation Estimate or the engagement shall be resolved through arbitration administered by the Beijing Arbitration Commission (BAC) in accordance with its rules then in force. The seat of arbitration shall be Beijing, China.
This Quotation Estimate is governed by and construed in accordance with the laws of the People's Republic of China, including the PRC Civil Code, the PRC Lawyers Law, and the Regulations on the Administration of Lawyers' Fees.

4. Acceptance

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the scope of Lawyer services, fee structure, and terms set forth herein for the engagement in China Beijing. A formal engagement letter will be issued upon acceptance.
