This Quotation Estimate is issued by Kalala & Partners Legal Counsel, a registered law firm operating under the jurisdiction of the Barreau de Kinshasa, to provide comprehensive Lawyer services to the above-named client. The legal engagement pertains to the review, negotiation, and execution of a joint-venture mining agreement, along with ancillary corporate governance matters, to be conducted in DR Congo Kinshasa in accordance with the applicable laws of the Democratic Republic of the Congo, including the Code de Commerce, the Mining Code (Loi n° 007/2002), and the Civil Code.
The Lawyer team assigned to this matter will consist of a Senior Partner (attorney-at-law with over fifteen years of practice in commercial and mining law in Kinshasa), one Associate specializing in corporate transactions, and a paralegal for document preparation and filing. All services will be rendered primarily at our offices in Gombe, Kinshasa, with the possibility of on-site visits to the client’s premises within the city of Kinshasa.

Payment of the total Quotation Estimate amount shall be made in three installments: (i) 40% upon signing of the engagement letter; (ii) 40% upon completion of the negotiation phase and delivery of the final contract draft; and (iii) 20% upon full execution and registration of all documents. Payments shall be made in United States Dollars via bank transfer to the firm’s account at Banque Africaine du Commerce Extérieur (BACEC), Kinshasa branch. The monthly retainer under Item 7 shall be invoiced on the first business day of each month.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, fees may be subject to revision based on prevailing market rates in Kinshasa.
- All services shall be performed by a licensed Lawyer (avocat) registered with the Ordre des Avocats du Barreau de Kinshasa, in full compliance with the professional ethics code of the Congolese legal profession.
- The Lawyer shall maintain strict confidentiality over all documents, strategies, and communications received in the course of this engagement, in accordance with Article 19 of the Code de Déontologie des Avocats in DR Congo.
- Any additional services beyond the scope described herein shall be subject to a separate written amendment to this Quotation Estimate, signed by both parties.
- Disputes arising from this engagement shall be resolved by arbitration seated in Kinshasa, DR Congo, under the rules of the International Chamber of Commerce (ICC), with proceedings conducted in French or English at the parties’ election.
- This Quotation Estimate does not constitute a guarantee of any particular legal outcome. The Lawyer shall exercise the highest degree of professional diligence and skill in the performance of the services described.
- All work product, including legal memoranda, drafts, and correspondence, shall become the property of the client upon full payment of the fees set forth in this estimate.
- This document is governed by and shall be construed in accordance with the laws of the Democratic Republic of the Congo, with the seat of the engagement in Kinshasa.
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Kalala & Partners Legal Counsel to commence the Lawyer services described herein in DR Congo Kinshasa under the terms and conditions set forth above.
