The Lawyer team assigned to this engagement shall provide the following services within the jurisdiction of Indonesia Jakarta, including but not limited to the Central, South, North, West, and East Jakarta administrative regions:

• Corporate Legal Advisory: Ongoing consultation on corporate governance, compliance with Indonesian Company Law (UU PT No. 40/2007), and regulatory matters before the Ministry of Law and Human Rights.
• Contract Drafting & Review: Preparation, negotiation, and review of commercial agreements, joint venture contracts, and employment contracts in both Bahasa Indonesia and English.
• Dispute Resolution & Litigation: Representation before the Jakarta District Court (Pengadilan Negeri Jakarta), Jakarta High Court, and the Supreme Court of the Republic of Indonesia. This includes filing of claims, defense of suits, and mediation proceedings.
• Intellectual Property Protection: Filing and enforcement of trademarks, patents, and copyrights with the Directorate General of Intellectual Property (DJKI) in Jakarta.
• Regulatory Compliance & Licensing: Assistance in obtaining business permits (NIB, OSS registration) and ensuring ongoing compliance with local Jakarta municipal regulations.
• Due Diligence: Comprehensive legal due diligence for prospective mergers, acquisitions, or foreign investment transactions within Indonesia.

The following Quotation Estimate outlines all anticipated professional fees. All amounts are stated in Indonesian Rupiah (IDR) and are exclusive of applicable Value Added Tax (PPN) at 11% as per Indonesian tax law.

• The monthly retainer fee shall be invoiced on the 1st of each calendar month and is payable within fourteen (14) business days via bank transfer to the firm's designated account at Bank Mandiri, Jakarta.
• Project-based fees (litigation, due diligence, IP filings) shall be invoiced upon commencement of the respective engagement, with a 50% upfront payment and 50% upon completion or final court ruling.
• Reimbursable expenses (court fees, notary costs, travel) shall be submitted with supporting receipts and are payable within ten (10) business days of invoice issuance.
• Late payments shall accrue interest at the rate of 1.5% per month, in accordance with standard commercial practice in Indonesia Jakarta.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, fees may be subject to revision based on market conditions and the Lawyer firm's updated rate card.
• All legal services shall be performed in strict compliance with the Indonesian Code of Ethics for Advocates (Kode Etik Advokat Indonesia) and the provisions of Law No. 18 of 2003 on Advocates and Attorneys.
• The Lawyer firm guarantees full confidentiality of all client information in accordance with the professional duty of secrecy (rahasia jabatan) as mandated by Indonesian law.
• This estimate covers services to be performed within the Indonesia Jakarta metropolitan area. Services requiring travel outside Jakarta (e.g., Bandung, Surabaya, Bali) shall be quoted separately with additional travel and accommodation charges.
• Any scope changes or additional services beyond those listed herein shall require a written amendment to this Quotation Estimate, signed by both parties, before work commences.
• Disputes arising from this engagement shall be resolved through mediation in Jakarta, and failing that, through the Jakarta Arbitration Board (BANI) in accordance with its rules.

By signing below, the Client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure outlined herein for the engagement of the Lawyer firm in Indonesia Jakarta.
