This Quotation Estimate is issued by the undersigned Lawyer, Dr. Amir Hosseini, a duly licensed attorney registered with the Bar Association of Tehran, in relation to the provision of legal counsel, representation, and advisory services to the above-named client. The scope of work encompasses the following areas of legal practice within the jurisdiction of Tehran, Iran:

The following Quotation Estimate details all professional fees, disbursements, and applicable charges. All amounts are stated in Iranian Rials (IRR) unless otherwise indicated. The Lawyer's professional fees are calculated in accordance with the fee schedule approved by the Bar Association of Tehran for the fiscal year 1404 (2025).

The total amount set forth in this Quotation Estimate shall be paid by the client to the Lawyer's designated bank account (Bank Melli Iran, Branch: Valiasr, Tehran) in the following installments:
- 30% advance payment (61,650,000 IRR) upon acceptance of this Quotation Estimate and execution of the retainer agreement.
- 40% interim payment (82,200,000 IRR) due upon filing of the principal statement of claim with the Tehran Commercial Court.
- 30% final payment (61,650,000 IRR) due upon conclusion of all proceedings or upon delivery of the final legal opinion, whichever occurs first.
- This Quotation Estimate constitutes a formal offer by the Lawyer and does not create an attorney-client relationship until a separate written retainer agreement is executed by both parties.
- The Lawyer shall act with the utmost professional diligence in accordance with the Code of Ethics of the Bar Association of Tehran and the provisions of the Iranian Lawyers' Law (1390).
- All communications, documents, and legal strategies developed in connection with this engagement shall be treated as strictly confidential under the attorney-client privilege recognized under Iranian law.
- The client agrees to provide all relevant documents, evidence, and factual information in a timely manner. Delays caused by the client's failure to cooperate may result in additional fees.
- The Lawyer reserves the right to withdraw from the engagement upon thirty (30) days' written notice, subject to the client's obligation to pay for all services rendered up to the date of withdrawal.
- Any dispute arising from this Quotation Estimate or the engagement it contemplates shall be resolved by the Disciplinary Committee of the Bar Association of Tehran, in accordance with the applicable rules of professional conduct.
- This Quotation Estimate is governed by and shall be interpreted in accordance with the laws of the Islamic Republic of Iran, with exclusive jurisdiction vested in the courts of Tehran.
- The Lawyer shall not be liable for any adverse court decision, as the outcome of legal proceedings is inherently uncertain and beyond the control of the attorney.
By signing below, the client acknowledges receipt of this Quotation Estimate, confirms understanding of the scope of services, fee structure, and terms outlined herein, and agrees to proceed with the engagement of the named Lawyer for the legal matters described above in Tehran, Iran.
