1. Introduction and Scope of Services

This Quotation Estimate is issued by Olawunmi & Associates Chambers, a duly registered law firm operating in Nigeria Lagos, in response to the written request from the client dated 2nd June 2025. The undersigned Lawyer, Chief Adewale Olawunmi, Esq., together with the firm's team of qualified legal practitioners, hereby presents this detailed Quotation Estimate outlining the professional legal services to be rendered, the associated fees, and the applicable terms governing the engagement. All services described herein shall be performed in strict compliance with the Laws of the Federation of Nigeria, the Lagos State Legal Practitioners' Rules, and the ethical standards prescribed by the Bar Council of Nigeria.

The Lawyer and the firm's legal team shall provide end-to-end legal advisory, drafting, negotiation, and representation services as itemized below. This Quotation Estimate reflects the current market rates for legal services in Nigeria Lagos as of the date of issue and is subject to the terms and conditions set forth in Section 5 of this document.

3. Payment Terms

The Quotation Estimate fees shall be paid as follows: A non-refundable retainer of 30% of the total one-time fees (NGN 3,780,000) shall be paid upon acceptance of this Quotation Estimate and execution of the engagement letter. The remaining 70% shall be invoiced in monthly installments aligned with the progress of the legal work. The monthly retainer of NGN 600,000 shall be payable in advance on the 1st business day of each month. All payments shall be made via bank transfer to the firm's designated account at Zenith Bank Plc, Victoria Island, Lagos, Nigeria. The Lawyer reserves the right to suspend services if any invoice remains outstanding for more than fourteen (14) calendar days.

4. Professional Standards and Confidentiality

The undersigned Lawyer and all members of the legal team at Olawunmi & Associates Chambers shall adhere to the highest standards of professional conduct as prescribed by the Bar Council of Nigeria and the Legal Practitioners' Rules 2007. All information, documents, and communications received in the course of this engagement shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the client, except where disclosure is mandated by law or court order in Nigeria Lagos or elsewhere in the Federal Republic of Nigeria.

5. Terms and Conditions of the Quotation Estimate

This Quotation Estimate is valid for thirty (30) days from the date of issue. Upon expiry, the Lawyer reserves the right to revise the fees to reflect any changes in applicable legal fees, court costs, or market conditions in Nigeria Lagos.
The fees stated in this Quotation Estimate are exclusive of Value Added Tax (VAT) at the prevailing rate of 7.5%, which shall be added to all invoices where applicable under the Nigerian tax regime.
The Lawyer shall not be liable for any costs, penalties, or adverse outcomes arising from the client's failure to provide timely and complete documentation or information necessary for the performance of the legal services.
Any additional legal services not specifically itemized in this Quotation Estimate shall be subject to a separate written agreement and additional fees at the Lawyer's standard hourly rate of NGN 75,000 per hour.
This engagement is governed by the laws of the Federal Republic of Nigeria, and any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts in Lagos State, Nigeria.
The Lawyer shall provide a written progress report to the client at the end of each month detailing hours worked, matters advanced, and any anticipated additional costs.
Either party may terminate this engagement upon thirty (30) days' written notice. Upon termination, the client shall be liable for all fees accrued up to the date of termination, and the Lawyer shall return all client documents and files within seven (7) business days.

6. Acceptance

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fees set forth herein. The Lawyer shall issue a formal Engagement Letter and Retainer Agreement within five (5) business days of the client's signed acceptance.
