This Quotation Estimate is issued by the undersigned Lawyer, Me. Amadou Diallo, a duly registered attorney at the Bar of Dakar, Senegal, in response to the formal request submitted by the Client on 02 June 2025. This document constitutes a detailed and binding estimate of the professional legal fees, disbursements, and ancillary costs that will be incurred in connection with the engagement of the Lawyer to represent and advise the Client in matters of corporate law, commercial litigation, and regulatory compliance before the competent courts and administrative authorities in Dakar, Senegal.

The scope of legal services covered by this Quotation Estimate encompasses all advisory, drafting, negotiation, and litigation activities that the Lawyer and his team will perform on behalf of the Client throughout the engagement period. This Quotation Estimate is prepared in accordance with the fee regulations of the Ordre des Avocats du Sénégal and the applicable provisions of the Senegalese Code of Civil Procedure and the Code de Commerce.

• Corporate Advisory: Comprehensive legal review and restructuring of the Client's corporate governance documents, including the Articles of Association, Shareholders' Agreements, and Board Resolutions, in full compliance with the Senegalese Commercial Code (Code de Commerce) and the OHADA Uniform Acts applicable in Senegal.
• Commercial Litigation Representation: Full representation of the Client before the Tribunal de Commerce de Dakar and, where necessary, the Cour d'Appel de Dakar, in the pending dispute concerning a breach of a supply contract (Case No. TC/2025/0312). This includes preparation of pleadings, attendance at hearings, cross-examination of witnesses, and submission of final written arguments.
• Regulatory Compliance: Legal opinion and compliance audit regarding the Client's obligations under the Senegalese Labour Code (Code du Travail), the tax code of Senegal, and the regulations of the Agence Nationale de la Statistique et de la Démographie (ANSD).
• Contract Drafting and Negotiation: Drafting, review, and negotiation of no fewer than five (5) commercial contracts, including distribution agreements, service-level agreements, and non-disclosure agreements, to be executed in Dakar, Senegal.
• Intellectual Property Filing: Preparation and submission of trademark registration applications before the Organisation Africaine de la Propriété Intellectuelle (OAPI) on behalf of the Client, with all correspondence and follow-up handled by the Lawyer's office in Dakar.
• General Legal Counsel: Availability for ad-hoc legal consultations, telephone and in-person meetings at the firm's offices in Dakar Plateau, and written legal opinions on matters arising during the engagement period.

4.1 A non-refundable retainer fee equivalent to thirty percent (30%) of the total estimated fee, amounting to 3,132,900 FCFA, shall be due and payable within five (5) business days of the Client's written acceptance of this Quotation Estimate.

4.2 The remaining balance shall be invoiced in monthly installments at the end of each calendar month of the engagement period, with payment due within fifteen (15) days of the invoice date.

4.3 All payments shall be made by bank transfer to the firm's designated account at the Banque Atlantique Sénégal, Dakar, or by certified cheque payable to Me. Amadou Diallo & Associés.

4.4 Late payments shall attract interest at the rate of 1.5% per month, in accordance with the provisions of the Senegalese Civil Code.

5.1 This Quotation Estimate is valid for a period of thirty (30) days from the date of issue. Upon expiry, the fees and terms set forth herein may be subject to revision.

5.2 The Lawyer shall maintain professional confidentiality in accordance with the Code de Déontologie des Avocats du Sénégal and shall not disclose any information pertaining to the Client's affairs without prior written consent.

5.3 The engagement is governed by the laws of the Republic of Senegal. Any dispute arising from this Quotation Estimate or the engagement it contemplates shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Dakar.

5.4 The Client acknowledges that the fees quoted in this Quotation Estimate are estimates and that the final amount may vary depending on the complexity and duration of the legal proceedings. The Lawyer shall provide a detailed account of all time spent and costs incurred at the conclusion of the engagement.

5.5 This Quotation Estimate does not constitute a guarantee of any particular outcome in litigation or regulatory proceedings. The Lawyer shall exercise all due diligence and professional competence in the performance of the services described herein.

By signing below, the Client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure set forth herein. The engagement of the Lawyer shall commence upon receipt of the initial retainer payment.
