1. Scope of Legal Services

The following services are encompassed within this Quotation Estimate and will be performed by our designated Lawyer team in Tanzania Dar es Salaam:

Comprehensive review and analysis of the existing supply and distribution agreement (approximately 85 pages) between Mushi Trading Enterprises Ltd. and the counterparty.
Preparation and filing of a formal letter of demand and subsequent legal notice in accordance with Tanzanian commercial law.
Representation before the Commercial Division of the High Court of Tanzania, Dar es Salaam, including all preliminary hearings, case management conferences, and the main trial.
Drafting of all necessary court pleadings, including the Statement of Claim, Defence responses, and any interlocutory applications.
Negotiation and mediation facilitation, should the parties elect to pursue alternative dispute resolution under the Arbitration Act, Cap. 358.
Post-judgment enforcement proceedings, if applicable, within the jurisdiction of Tanzania Dar es Salaam.
General legal advisory consultations (up to 10 hours) throughout the duration of the matter.

3. Terms and Conditions of This Quotation Estimate

This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, the Lawyer team reserves the right to revise fees to reflect current market rates in Tanzania Dar es Salaam.
All fees stated in Tanzanian Shillings (TZS) are exclusive of Value Added Tax (VAT) at the prevailing rate of 18%, which shall be added to the final invoice upon completion of services.
Payment terms: A non-refundable retainer of 30% of the total estimated fee shall be payable upon acceptance of this Quotation Estimate. The remaining balance shall be invoiced in monthly installments or upon completion of each major milestone, as mutually agreed.
Any services rendered beyond the scope described in Section 1 of this document shall be subject to a supplementary Quotation Estimate issued by the responsible Lawyer prior to commencement of such additional work.
This Quotation Estimate does not constitute a guarantee of outcome. The Lawyer and firm shall exercise all due diligence and professional judgment in accordance with the Tanzanian legal framework, but no specific result can be assured.
All communications, documents, and correspondence related to this matter shall be handled in strict confidence in accordance with the professional ethical obligations binding every Lawyer in Tanzania.
Disputes arising from the interpretation or performance of this Quotation Estimate shall be resolved through mediation in Tanzania Dar es Salaam, failing which, the Commercial Division of the High Court of Tanzania shall have exclusive jurisdiction.
This Quotation Estimate is governed by and shall be construed in accordance with the laws of the United Republic of Tanzania.

4. Acceptance and Authorization

By signing below, the Client acknowledges receipt of this Quotation Estimate, confirms understanding of the scope of services to be provided by the Lawyer team, and authorizes Mwangi & Associates Legal Practice to proceed with the engagement as described herein. The Client further confirms that all information provided to the firm in Tanzania Dar es Salaam is true, complete, and accurate to the best of their knowledge.
