This Quotation Estimate is formally issued by Siriporn & Associates Legal Counsel, a duly registered law firm operating in Thailand Bangkok, to provide Mr. James R. Whitfield with a comprehensive and itemised breakdown of the professional fees, disbursements, and ancillary costs associated with the engagement of our Lawyer team for the legal matters described herein. This document constitutes a binding Quotation Estimate only upon the client's written acceptance and execution of the accompanying retainer agreement. All fees quoted are exclusive of Value Added Tax (VAT) at the prevailing rate of 7% as administered by the Revenue Department of Thailand, unless otherwise stated.
The scope of legal services covered by this Quotation Estimate encompasses the following matters to be handled by our designated Lawyer and supporting legal team within the Bangkok Metropolitan Area and, where necessary, before the Central Labor Court of Bangkok and the Bangkok Commercial Court:

Payment for the legal services outlined in this Quotation Estimate shall be made in accordance with the following schedule, payable to Siriporn & Associates Legal Counsel via bank transfer to the firm's designated account at Kasikornbank PCL, Sathorn Branch, Thailand Bangkok:
- Retainer / Deposit: 30% of the total estimated fee (THB 191,958) due within five (5) business days of acceptance of this Quotation Estimate.
- Progress Payments: 40% of the total estimated fee (THB 255,944) payable in two equal instalments — 50% upon completion of the FBL application submission and 50% upon the conclusion of the pre-trial discovery phase in the Bangkok Commercial Court matter.
- Final Settlement: The remaining 30% (THB 191,958) plus any additional disbursements or fee adjustments, payable within fourteen (14) days of the final court judgment or the completion of all advisory services, whichever occurs later.
- This Quotation Estimate is valid for a period of thirty (30) days from the date of issue. Upon expiry, the Lawyer reserves the right to revise all fee rates to reflect current market conditions in Thailand Bangkok.
- Acceptance of this Quotation Estimate shall be deemed to constitute the client's agreement to the full terms of the firm's standard Retainer Agreement, which shall be executed concurrently.
- The Lawyer and all associated legal personnel shall maintain strict confidentiality in accordance with the Thai Lawyers' Code of Ethics and the Personal Data Protection Act B.E. 2562 (PDPA). No information pertaining to the client's matters shall be disclosed to any third party without prior written consent.
- All legal advice, opinions, and documents prepared by the Lawyer under this engagement shall be governed by the laws of the Kingdom of Thailand. Any disputes arising from this Quotation Estimate or the underlying retainer shall be subject to the exclusive jurisdiction of the Bangkok courts.
- The client acknowledges that the Lawyer's fees are estimates and not guarantees of outcome. No fee is refundable for work already performed, except in cases of material breach by the firm.
- This Quotation Estimate does not constitute a guarantee of any particular legal result. The Lawyer shall exercise reasonable professional diligence in the representation of the client's interests before all relevant Thai authorities and courts in Bangkok.
- Any amendments to the scope of work must be documented in a written addendum to this Quotation Estimate, signed by both the client and the authorised Lawyer of record.
By signing below, the client confirms that this Quotation Estimate has been reviewed in its entirety, that all fee structures and terms are understood, and that the client authorises the engagement of the designated Lawyer and legal team for the services described herein. This acceptance shall be effective immediately upon the last signature being affixed.
