The Lawyer assigned to this matter, Ms. Eleanor C. Whitmore, is a qualified solicitor and barrister-at-law with over twenty-two years of experience in commercial litigation and regulatory compliance within the United Kingdom London legal market. She will be supported by a dedicated team of two associate lawyers and one paralegal, all of whom are regulated by the SRA and practise exclusively in United Kingdom London.

The following Quotation Estimate covers the Lawyer's professional services in relation to the Client's commercial contract dispute with a counterparty operating within the United Kingdom London business district, as well as ongoing regulatory compliance advisory. The scope includes, but is not limited to:

• Initial case assessment, file review, and preparation of a written legal opinion on the merits of the dispute under English contract law;
• Drafting and service of a formal Letter Before Action (LBA) in accordance with the Pre-Action Protocol for Commercial Disputes;
• Representation of the Client at all stages of negotiation, mediation, and, if necessary, litigation before the Commercial Court, High Court of Justice, United Kingdom London;
• Preparation of all court documents, including Particulars of Claim, Defence responses, witness statements, and skeleton arguments;
• Regulatory compliance advisory regarding the Client's obligations under the UK Companies Act 2006 and applicable FCA guidance, as relevant to the matter in hand;
• Attendance at up to three (3) in-person meetings at our offices in Chancery Lane, London, and unlimited telephone/video consultations;
• Preparation of a final written report summarising the outcome and providing forward-looking legal recommendations.

The following Quotation Estimate sets out the estimated fees for the Lawyer's professional services. All figures are exclusive of Value Added Tax (VAT) at the prevailing rate of 20%, which will be added to the final invoice. This Quotation Estimate is based on the Lawyer's professional judgement and the information available as at the date of issue. Actual costs may vary depending on the complexity and duration of the matter.

Disbursements and Third-Party Costs: In addition to the professional fees outlined above, the Client will be liable for reasonable disbursements incurred in the course of the matter, including but not limited to court filing fees, expert witness fees, travel expenses within United Kingdom London and the surrounding Home Counties, and any costs associated with obtaining official documents from HM Land Registry or Companies House. These disbursements are estimated at an additional £4,500.00 (inclusive of VAT) and will be itemised on each invoice.

Unless otherwise agreed in writing, the Quotation Estimate fees shall be payable as follows: a retainer of 25% of the total estimated professional fees (£6,634.00 inclusive of VAT) is due upon execution of the Client Care Letter; the balance shall be invoiced monthly in arrears on the last working day of each calendar month. All invoices are payable within fourteen (14) calendar days of the date of issue. Late payments may attract interest at the rate of 4% above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts (Interest) Act 1998, applicable in United Kingdom London.
