This Quotation Estimate is issued by Nguyen Van Minh & Associates Law Firm to provide a detailed cost breakdown for the engagement of a qualified Lawyer to represent and advise the Client in matters pertaining to commercial contract disputes, corporate governance compliance, and regulatory filings within Ho Chi Minh City, Vietnam. The Lawyer assigned to this matter will operate in accordance with the Law on Lawyers of Vietnam (Law No. 66/2006/QH11, amended 2012) and all applicable regulations of the Vietnam Bar Association.

- Advance Payment: 40% of the total estimated fee (57,760,000 VND) shall be paid within 5 business days of the Client's written acceptance of this Quotation Estimate.
- Progress Payment: 30% of the total estimated fee (43,320,000 VND) shall be due upon completion of the contract review and drafting phase (Items 2 and 3).
- Final Payment: The remaining 30% (43,320,000 VND) shall be payable within 10 business days following the conclusion of all court proceedings or the expiration of the advisory retainer period, whichever is later.
- All payments shall be made via bank transfer to the firm's designated account at Vietcombank, Ho Chi Minh City Branch. The Lawyer's firm will issue a VAT invoice (hóa đơn GTGT) for each payment received.
This Quotation Estimate is a non-binding proposal and does not constitute a formal engagement contract. A separate Retainer Agreement, compliant with the Law on Lawyers of Vietnam, must be executed before any legal services commence. The following conditions apply to this Quotation Estimate:
- The Lawyer and the firm reserve the right to withdraw from this engagement if a conflict of interest arises under the Vietnam Bar Association's Code of Professional Ethics.
- Should the scope of work expand beyond the parameters described herein, the Lawyer will issue a supplementary Quotation Estimate for the Client's approval before additional work proceeds.
- The Client agrees to provide all relevant documents, information, and access to personnel necessary for the Lawyer to perform the assigned legal duties in a timely manner.
- This Quotation Estimate is valid for 30 days from the date of issue. Upon expiration, the firm reserves the right to revise fees based on current market rates in Ho Chi Minh City.
- All communications and legal work product shall be treated as confidential in accordance with the attorney-client privilege recognized under Vietnamese law.
- Disputes arising from this engagement shall be resolved through mediation at the Vietnam Arbitration Center (VIAC) in Ho Chi Minh City before any litigation is initiated.
By signing below, the Client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure outlined above for the engagement of the Lawyer and Nguyen Van Minh & Associates Law Firm in Ho Chi Minh City, Vietnam.
