Thank you for engaging Mutamba & Associates Chambers, a registered law practice operating in Zimbabwe Harare, to provide professional legal counsel and representation on behalf of Moyo Holdings (Pvt) Ltd. This Quotation Estimate sets out in full the scope of legal services to be rendered by our Lawyer team, the associated professional fees, disbursements, and all applicable terms governing the engagement. This document constitutes a formal Quotation Estimate issued in accordance with the Legal Practitioners Act [Chapter 21:07] of Zimbabwe and the rules of the Law Society of Zimbabwe.

The undersigned Lawyer, Advocate R. Mutamba (LL.B, LL.M, Bar of Zimbabwe), together with the supporting legal team at our Zimbabwe Harare chambers, shall provide the following services to the Client:

• Full legal representation in the High Court of Zimbabwe, Harare, in the matter of Moyo Holdings (Pvt) Ltd v. Zimcom Properties (Pvt) Ltd, Case No. HB 4421/2025, including all preliminary hearings, interlocutory applications, and the main trial.
• Drafting, review, and negotiation of all pleadings, affidavits, witness statements, and legal memoranda required for the above-mentioned litigation.
• Provision of ongoing legal advisory services to the Client's board of directors regarding corporate governance, contractual obligations, and regulatory compliance under Zimbabwean law, for a period of twelve (12) months.
• Preparation and filing of all necessary court documents, notices of motion, and applications before the High Court and, if applicable, the Supreme Court of Zimbabwe, Harare.
• Conduct of legal research, preparation of case law summaries, and provision of written legal opinions on matters of Zimbabwean commercial and property law.
• Attendance at all court sittings, mediation sessions, and settlement conferences held in Harare, Zimbabwe, on behalf of the Client.

The following Quotation Estimate reflects the professional fees and estimated disbursements for the services described above. All amounts are quoted in United States Dollars (USD) in accordance with the prevailing foreign exchange regulations of the Reserve Bank of Zimbabwe.

• A non-refundable retainer deposit of twenty-five percent (25%) of the total Quotation Estimate, amounting to USD $18,500.00, shall be payable within seven (7) business days of the Client's written acceptance of this Quotation Estimate.
• Monthly invoices for the corporate advisory retainer shall be issued on the first business day of each month and are payable within fourteen (14) days of the invoice date.
• Litigation fees shall be invoiced on a monthly basis, with a detailed time-and-expense breakdown provided by the Lawyer at the end of each calendar month.
• All payments shall be made via bank transfer to the firm's designated account at Stanbic Bank Zimbabwe, Harare Branch, or by certified cheque drawn on a Zimbabwean commercial bank.
• Late payments shall attract interest at the rate of two percent (2%) per month, calculated on the outstanding balance, in accordance with the terms of the Legal Practitioners Act.

• This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Thereafter, the Lawyer reserves the right to revise fees to reflect current market rates in Zimbabwe Harare.
• The engagement of the Lawyer is governed by the Legal Practitioners Act [Chapter 21:07], the Rules of the Law Society of Zimbabwe, and the general law of the Republic of Zimbabwe.
• All communications, documents, and legal opinions prepared by the Lawyer are strictly confidential and protected by attorney-client privilege under Zimbabwean law.
• The Lawyer shall not be held liable for any adverse court outcome, as legal representation does not guarantee a specific result. The Lawyer commits to exercising the highest degree of professional diligence and competence in the conduct of the Client's matter.
• Either party may terminate the engagement by providing thirty (30) days' written notice. Upon termination, the Client shall be liable for all fees and disbursements incurred up to the date of termination.
• This Quotation Estimate shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the courts of Harare, Zimbabwe.

By signing below, the Client acknowledges receipt of this Quotation Estimate, confirms that the scope of services and fee structure have been reviewed and understood, and agrees to be bound by the terms and conditions set out herein.
