4.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. After the expiry date, all rates and conditions herein may be subject to revision based on market conditions in Canada Montreal.
4.2 Payment Schedule: Payment shall be made in monthly installments of $17,437.88 (CAD), due on the first business day of each month. A 1.5% late payment penalty shall apply to any invoice outstanding beyond fifteen (15) days from the due date, in accordance with the Quebec Civil Code.
4.3 Cancellation Policy: Either party may terminate this engagement with sixty (60) days written notice. In the event of early termination, all services rendered up to the termination date shall be invoiced in full. No refund shall be issued for the one-time digital catalogue migration fee (Item 3) once the project has commenced.
4.4 Scope Changes: Any modification to the scope of Librarian services outlined in this Quotation Estimate must be documented in a written change order signed by both parties. Additional services will be billed at the prevailing hourly rate of $75.00 CAD per hour.
4.5 Governing Law: This Quotation Estimate and the resulting contract shall be governed by and interpreted in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable in Montreal.
4.6 Confidentiality: The Librarian and all supporting staff shall maintain strict confidentiality regarding patron records, institutional data, and proprietary information in compliance with the Quebec Act Respecting the Protection of Personal Information in the Private Sector (Law 25) and the federal Privacy Act of Canada.
4.7 Insurance: Montreal Knowledge & Information Management Inc. maintains professional liability insurance of no less than $2,000,000 CAD and workers' compensation coverage as required by the Régie du travail du Québec for all personnel operating in Canada Montreal.
Note: This Quotation Estimate assumes that the client facility in Canada Montreal will provide adequate workspace, internet connectivity, and necessary equipment for the Librarian to perform duties. Any additional infrastructure requirements will be quoted separately. All services are subject to the availability of the assigned Librarian professional, who holds a Master's degree in Library and Information Science (MILS) from a Canadian accredited institution and is a member in good standing of the Canadian Library Association (CLA).By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and financial projections outlined herein.
