3.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, pricing for the Librarian engagement and all associated services in Mexico, Mexico City is subject to revision based on current market conditions and inflation indices published by INEGI.
3.2 Payment Schedule: Payment shall be made in the following installments: 30% upon contract execution, 40% upon completion of the digital migration project (Item 2), and 30% upon final delivery and acceptance of all services. All payments shall be made in Mexican Pesos (MXN) via bank transfer to the account designated in the master service agreement.
3.3 Labor Compliance: The Librarian and all support personnel shall be employed in strict accordance with the Federal Labor Law (Ley Federal del Trabajo) of Mexico and the applicable regulations of the Mexico City government. Social security contributions (IMSS), annual leave, and all statutory benefits are included in the quoted rates.
3.4 Intellectual Property: All cataloging records, metadata, digital assets, and programming materials created by the Librarian during the engagement shall become the exclusive property of the client upon full payment. The Librarian retains the right to reference the project in professional portfolios with prior written consent.
3.5 Cancellation and Termination: Either party may terminate the agreement with sixty (60) days' written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a 10% administrative fee on the remaining contract value.
3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the civil and commercial laws of the United Mexican States, with exclusive jurisdiction in the courts of Mexico, Mexico City.
3.7 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, patron data, and institutional records encountered during the Librarian engagement in Mexico, Mexico City, in compliance with the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP).
