Payment for the services outlined in this Quotation Estimate shall be made in quarterly instalments of €49,942.75 (inclusive of VAT), due within thirty (30) calendar days of the invoice date. The first instalment is due upon the formal acceptance of this Quotation Estimate and the execution of the corresponding service agreement. • Validity: This Quotation Estimate is valid for a period of thirty (30) days from the date of issue. After this period, all rates and conditions are subject to revision without prior notice.
• Scope Changes: Any modification to the scope of Librarian services beyond what is described herein must be agreed upon in writing by both parties. Additional work will be billed at the hourly rate of €95.00 plus applicable VAT.
• Confidentiality: The Librarian and all supporting staff shall adhere to strict confidentiality obligations regarding patron data, collection records, and internal operational information of the Netherlands Amsterdam library network, in full compliance with GDPR and Dutch privacy legislation (AVG).
• Intellectual Property: All reports, metadata schemas, training materials, and strategic documents produced under this engagement shall become the property of the Municipal Library Authority, Amsterdam, upon full payment.
• Termination: Either party may terminate the service agreement with a written notice period of sixty (60) days. In the event of early termination, all services rendered up to the termination date shall be invoiced in full.
• Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be submitted to the competent courts of Amsterdam, The Netherlands.
