2. Payment shall be made in CFA Francs (XOF) via bank transfer to the account of Sahel Knowledge & Archives Consulting, Banque Atlantique du Sénégal, Dakar. Invoices will be issued monthly in arrears.
3. The Librarian shall be engaged under a fixed-term professional services contract of twelve (12) months, renewable by mutual written agreement. The contract shall be governed by the labour and professional services laws of the Republic of Senegal.
4. A mobilisation advance of twenty percent (20%) of the total Quotation Estimate value is required to confirm the engagement and initiate the onboarding process in Dakar.
5. All intellectual property, catalogue data, and institutional records created or managed by the Librarian during the term of service shall remain the exclusive property of the client institution in Senegal Dakar.
6. Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, a pro-rata adjustment to the Quotation Estimate total will be applied.
7. This Quotation Estimate does not include Value Added Tax (VAT), as professional services rendered to a public university in Senegal are exempt under the applicable fiscal code. Should the tax status change, applicable rates will be added to the final invoice.
8. Disputes arising from this Quotation Estimate or the subsequent Librarian service agreement shall be resolved through amicable negotiation, failing which they shall be submitted to the competent courts of Dakar, Senegal.
