The Librarian engagement outlined in this Quotation Estimate covers the full spectrum of library and information services, including but not limited to: collection development and curation, catalogue management, reference and research assistance, digital resource integration, inter-library loan coordination, and patron support services. All Librarian activities shall be conducted in strict compliance with the Personal Data Protection Act (PDPA) of Singapore Singapore and the relevant intellectual property regulations governing the Republic of Singapore.

- Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, the Librarian service rates and total Quotation Estimate amount are subject to revision based on prevailing market conditions in Singapore Singapore.
- Payment Terms: Payment shall be made within thirty (30) days from the date of invoice. Invoices will be issued monthly in arrears. All payments are to be made in Singapore Dollars (SGD) via bank transfer to the account of Meridian Knowledge Solutions Pte. Ltd., Singapore Singapore.
- Commencement: The Librarian services shall commence within fourteen (14) calendar days of written acceptance of this Quotation Estimate and execution of the definitive service agreement.
- Termination: Either party may terminate the Librarian engagement with ninety (90) days' written notice. Early termination within the first six (6) months shall incur a penalty of fifty percent (50%) of the remaining Quotation Estimate value.
- Confidentiality & Data Protection: All Librarian personnel are bound by strict confidentiality obligations. Handling of patron data shall comply with the PDPA of Singapore Singapore. No data shall be transferred outside Singapore Singapore without explicit written consent.
- Intellectual Property: All work products, catalogues, metadata records, and reports generated by the Librarian team under this Quotation Estimate shall be the sole property of the Client upon full payment.
- Governing Law: This Quotation Estimate and any resulting agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore Singapore. Disputes shall be resolved by arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government directives, or public health emergencies as declared in Singapore Singapore.
- Subcontracting: The Librarian services shall be performed by Meridian Knowledge Solutions Pte. Ltd. and its directly employed Librarian staff. No subcontracting of core Librarian functions is permitted without prior written approval from the Client.
- Amendments: Any amendments to this Quotation Estimate must be made in writing and signed by both parties. Verbal modifications to the Librarian scope or Quotation Estimate pricing are not binding.
By signing below, the Client acknowledges and accepts this Quotation Estimate for the Librarian services described herein, to be delivered in Singapore Singapore. The Client confirms that the total Quotation Estimate amount of SGD 395,234.00 (inclusive of 9% GST) is agreed upon, and that the Librarian engagement terms are understood and accepted.
