Payment Schedule: The total amount stated in this Quotation Estimate shall be payable in three equal installments: 40% upon contract signing, 30% at the six-month milestone, and 30% upon completion of the twelve-month service period. All payments shall be made via bank transfer to the account of Nile Valley Knowledge Services Ltd. at Bank of Khartoum, Sudan.
Tax and Duties: All applicable Sudanese Value Added Tax (VAT) at the rate of 15% shall be added to the subtotal if the client is not a registered VAT-exempt entity. Withholding tax as per the Sudanese Income Tax Act shall be deducted at source where applicable.
Service Location: All Librarian services shall be rendered at the client's designated premises within the Sudan Khartoum metropolitan area, including Omdurman and Khartoum North, unless otherwise agreed in writing.
Termination: Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a 10% administrative fee.
Confidentiality: The Librarian and all personnel engaged under this Quotation Estimate shall adhere to strict confidentiality obligations regarding the client's collection data, patron records, and institutional information in accordance with Sudanese data protection regulations.
Force Majeure: Neither party shall be held liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to civil unrest, natural disasters, or government-imposed restrictions affecting operations in Sudan Khartoum.
Dispute Resolution: Any disputes arising from this Quotation Estimate shall be resolved through amicable negotiation. Failing resolution within thirty days, the matter shall be referred to arbitration under the rules of the Sudanese Arbitration Centre in Khartoum.
