This Quotation Estimate is issued by Zurich Knowledge & Archives AG to provide a comprehensive and itemized financial overview for the engagement of a professional Librarian in Switzerland Zurich. The Librarian will be responsible for the full lifecycle management of the client's physical and digital collections, including but not limited to: acquisition and processing of new materials, systematic cataloguing using the Swiss National Library (SLUB) classification standards, reference and research assistance, preservation and conservation oversight, inter-library loan coordination with the Zentralbibliothek Zürich and other institutions across Switzerland Zurich, and the development of digital access portals. The Librarian will operate on-site at the client's designated facility in Switzerland Zurich for the agreed number of hours per week, with remote availability for administrative tasks.
All Librarian activities will comply with Swiss data protection regulations (DSG/FADP), the Swiss Copyright Act, and the specific archival guidelines issued by the State Archives of the Canton of Zurich. 3.1 Validity. This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. After the expiry date, Zurich Knowledge & Archives AG reserves the right to revise the pricing of the Librarian services due to market fluctuations, changes in Swiss labour regulations, or adjustments to the Swiss Franc exchange rate.
3.2 Payment Terms. Invoices for the Librarian services will be issued on the last working day of each calendar month. Payment is due within thirty (30) days of the invoice date via bank transfer to the account of Zurich Knowledge & Archives AG, IBAN: CH93 0076 2011 6238 5295 7, UBS AG, 8000 Zurich, Switzerland. Late payments will incur interest at the statutory Swiss rate as defined under Article 104 of the Swiss Code of Obligations.
3.3 Service Commencement. Upon written acceptance of this Quotation Estimate, the Librarian engagement in Switzerland Zurich shall commence on the first day of the following calendar month. A minimum contract duration of twelve (12) months is required, after which the agreement may be renewed on a monthly basis with thirty (30) days' written notice from either party.
3.4 Confidentiality and Data Protection. The Librarian and all personnel of Zurich Knowledge & Archives AG shall adhere to strict confidentiality obligations in accordance with the Swiss Federal Act on Data Protection (FADP/DSG). All client data processed in Switzerland Zurich shall be stored on servers located within Swiss territory. No data shall be transferred outside Switzerland without prior written consent.
3.5 Cancellation and Termination. Either party may terminate the Librarian service agreement with a written notice period of sixty (60) days. In the event of early termination by the client without cause, a cancellation fee equivalent to two months of the Librarian service fee shall apply.
3.6 Governing Law. This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising from the Librarian services in Switzerland Zurich shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich.
3.7 Force Majeure. Neither party shall be liable for failure to perform obligations under this Quotation Estimate due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or strikes affecting the Librarian workforce in Switzerland Zurich.
