All figures are quoted in British Pounds Sterling (GBP). VAT is charged at the standard rate of 20% as applicable in the United Kingdom. This Quotation Estimate does not include any third-party licensing fees for proprietary databases unless specifically agreed in writing.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Should the client wish to proceed after the expiry date, a revised Quotation Estimate will be required to reflect any changes in market rates or resource availability.
- Payment terms: 50% of the total contract value is due upon execution of the service agreement; the remaining 50% shall be payable in equal monthly instalments over the twelve-month engagement period. All payments are to be made via BACS transfer to the account details provided on the invoice.
- The Librarian professional assigned to this engagement shall operate under a fixed-term contract. Early termination by either party requires a minimum of sixty (60) days' written notice. In the event of early termination, a pro-rata charge for services rendered to date shall apply.
- All work performed by the Librarian shall be conducted in strict adherence to the UK GDPR, the Data Protection Act 2018, and the relevant professional standards set by the Chartered Institute of Library and Information Professionals (CILIP).
- The Librarian shall have access to all relevant premises within the United Kingdom Birmingham office locations as required to fulfil the scope of work. The client agrees to provide reasonable working facilities, including desk space, IT access, and secure storage for physical materials.
- Intellectual property: All original documents, case files, and archival materials remain the sole property of Whitfield & Associates LLP. The Librarian and Birmingham Knowledge & Archives Services Ltd. shall not retain copies of any client material beyond the completion of the engagement unless expressly authorised in writing.
- Liability: Birmingham Knowledge & Archives Services Ltd. accepts liability for loss or damage to materials in the Librarian's custody up to a maximum of £50,000 per incident, subject to the terms of our professional indemnity insurance policy. Claims must be notified in writing within fourteen (14) days of the incident.
- This Quotation Estimate is governed by the laws of England and Wales. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom Birmingham region.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or systemic IT failures affecting the United Kingdom Birmingham area.
By signing below, the client confirms that this Quotation Estimate has been reviewed in its entirety and that the terms, conditions, and cost breakdown for the Librarian services to be delivered in United Kingdom Birmingham are accepted in full. This signature constitutes a binding agreement to proceed with the engagement as described herein.
