4.1 Validity: This Quotation Estimate remains valid for a period of ninety (90) calendar days from the date of issue. Should the client wish to proceed after the expiry date, a revised Quotation Estimate reflecting any changes in United Kingdom Manchester market rates shall be issued.
4.2 Payment Terms: Invoices shall be issued monthly in arrears. Payment is due within thirty (30) days of the invoice date via BACS transfer to the account details provided. Late payments shall accrue interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4.3 Cancellation: Either party may terminate the engagement with a written notice period of sixty (60) days. In the event of early termination, the client shall be liable for all costs incurred up to the date of termination, including any non-recoverable commitments made by the Librarian team.
4.4 Insurance & Compliance: Northwest Professional Services Ltd maintains Public Liability Insurance of not less than £10,000,000 and Professional Indemnity Insurance of not less than £5,000,000. All Librarian personnel shall hold valid DBS (Disclosure and Barring Service) checks appropriate to the United Kingdom Manchester jurisdiction and shall comply with all applicable UK employment and data protection legislation.
4.5 Intellectual Property: All bespoke policies, training materials, and procedural documents developed by the Librarian team specifically for the client institution in United Kingdom Manchester shall become the property of the client upon full payment. General methodologies and pre-existing intellectual property remain the property of Northwest Professional Services Ltd.
4.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of United Kingdom Manchester.
