4.1 This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiration, all rates and availability of the specified Librarian professionals must be reconfirmed in writing.
4.2 Payment terms: 40% upon execution of the service agreement, 40% at the six-month milestone, and 20% upon final delivery and acceptance of all Librarian services. All payments are due within thirty (30) days of invoice date.
4.3 The assigned Librarian shall hold a minimum of a Master of Library and Information Science (MLIS) degree and possess at least five (5) years of professional experience in public or academic library settings within the United States.
4.4 All services shall be performed in compliance with applicable Texas state regulations, the Americans with Disabilities Act (ADA), and the Library of Congress standards. The Librarian shall maintain professional liability insurance with a minimum coverage of $1,000,000.
4.5 Any changes to the scope of Librarian services beyond the parameters defined in this Quotation Estimate shall require a written change order signed by both parties before additional work commences.
4.6 This Quotation Estimate does not constitute a contract until formally accepted in writing by the client and countersigned by Meridian Knowledge Solutions, LLC. Governing law for this agreement shall be the laws of the State of Texas, United States Houston jurisdiction.
4.7 All intellectual property generated during the course of Librarian services, including but not limited to catalog records, program curricula, and digitized materials, shall remain the property of the client unless otherwise stated in a separate intellectual property agreement.
By signing below, the client acknowledges receipt of this Quotation Estimate for Librarian services in United States Houston and agrees to the terms, conditions, and pricing outlined herein. This acceptance shall serve as the basis for the subsequent service agreement between both parties.
