1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all pricing and service terms are subject to revision without prior notice.
2. Acceptance: Acceptance of this Quotation Estimate constitutes a binding agreement between Miami Professional Librarian Services, LLC and the client for the Librarian services described herein. A signed copy of this document must be returned to the provider within the validity period.
3. Payment Schedule: Invoices will be issued monthly in arrears. Payment is due within thirty (30) days of the invoice date. Late payments will incur a 1.5% monthly interest charge in accordance with Florida commercial law.
4. Service Delivery: All Librarian services will be performed by qualified, credentialed professionals holding at minimum a Master of Library and Information Science (MLIS) degree. The primary service location shall be the client's facility in Miami, Florida, United States, with remote support available as specified.
5. Cancellation: Either party may terminate the agreement with sixty (60) days written notice. In the event of early termination by the client, a pro-rated fee for services rendered through the termination date will be due.
6. Confidentiality: The provider agrees to maintain strict confidentiality regarding all client data, patron records, and institutional information in compliance with the United States Privacy Act and applicable Florida state statutes.
7. Governing Law: This Quotation Estimate and any resulting agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.
