3.1 This Quotation Estimate constitutes a formal proposal for Librarian services and does not represent a binding contract until countersigned by both parties. The terms outlined herein govern the professional relationship between Manhattan Library Consulting Group and the client for the duration of the engagement in the United States New York City.
3.2 Payment terms: A deposit of twenty-five percent (25%) of the total Quotation Estimate amount is due upon acceptance. The remaining balance shall be invoiced monthly in arrears, with payment due within thirty (30) days of invoice date. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law.
3.3 The Librarian personnel assigned to this engagement shall hold valid professional credentials, including but not limited to the Master of Library and Information Science (MLIS) degree and any applicable certifications recognized by the American Library Association (ALA). All Librarian staff operating in the United States New York City shall maintain current professional liability insurance.
3.4 Scope modifications: Any changes to the scope of Librarian services beyond those itemized in this Quotation Estimate shall require a written amendment signed by both parties. Additional hours or services rendered outside the agreed scope will be billed at the applicable hourly rate specified in Section 2.
3.5 Confidentiality: All Librarian personnel shall adhere to strict confidentiality protocols regarding patron records, institutional data, and proprietary collection information in accordance with the New York State Public Officers Law and applicable federal privacy regulations.
3.6 Termination: Either party may terminate this Quotation Estimate agreement with thirty (30) days written notice. Upon termination, all completed Librarian services shall be invoiced, and any prepaid amounts for unrendered services shall be refunded within fifteen (15) business days.
3.7 Governing Law: This Quotation Estimate and any resulting agreement shall be governed by and construed in accordance with the laws of the State of New York, with jurisdiction vested in the courts of New York County, United States New York City.
