1. Validity: This Quotation Estimate remains valid for thirty (30) calendar days from the date of issue. After the expiration date, all rates and terms are subject to revision based on prevailing market conditions in Uzbekistan Tashkent.
2. Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days of invoice issuance. The initial engagement fee for the Librarian position is due upon contract execution. All payments shall be processed in US Dollars or Uzbekistan Sum through the client's designated banking institution in Tashkent.
3. Scope Modification: Any changes to the scope of Librarian services, additional personnel requirements, or expanded digital resource needs must be submitted in writing. A revised Quotation Estimate will be issued within five (5) business days of receiving such a request.
4. Termination: Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a 5% administrative fee.
5. Applicable Law: This agreement and all associated Quotation Estimate documents shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes shall be resolved through the competent courts of Tashkent, Uzbekistan.
6. Confidentiality: All information exchanged in connection with this Quotation Estimate and the subsequent Librarian engagement shall be treated as confidential by both parties in accordance with Uzbekistan's data protection regulations.
7. Tax Obligations: All prices quoted are exclusive of Value Added Tax (VAT) at the prevailing rate in Uzbekistan. Applicable social security contributions for the Librarian personnel are included in the monthly rates as specified above.
