• Validity: This Quotation Estimate remains valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all prices are subject to revision due to currency fluctuation, inflation, or changes in the regulatory environment in DR Congo Kinshasa.
• Payment Schedule: A mobilisation advance of 25% shall be paid within fourteen (14) days of contract signature. The remaining 75% shall be paid in equal monthly instalments, due on the 5th of each month following the completion of the prior month's services. All payments shall be made in US Dollars via wire transfer to the account of Equatorial Marine & Industrial Services SARL, Bank of Congo, Kinshasa branch.
• Contract Duration: The engagement of the Marine Engineer and support team is for a fixed term of twelve (12) months. Early termination by either party requires a written notice of sixty (60) days. In the event of early termination, all costs incurred up to the termination date, plus a 10% administrative fee, shall be invoiced.
• Regulatory Compliance: All Marine Engineer services shall be performed in strict accordance with the maritime and fluvial transport regulations of the Democratic Republic of the Congo, the International Maritime Organization (IMO) conventions applicable to inland waterways, and the specific operational directives issued by the Fluvial Transport Authority of DR Congo Kinshasa.
• Force Majeure: Neither party shall be held liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to civil unrest, flooding of the Congo River, government sanctions, or epidemics affecting operations in DR Congo Kinshasa.
• Confidentiality: All technical data, vessel records, and operational information exchanged under this Quotation Estimate and the resulting contract shall be treated as strictly confidential by both parties.
• Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo. Any disputes shall be resolved through arbitration in Kinshasa, DR Congo Kinshasa, in accordance with the rules of the OHADA arbitration centre.
